separate counterparts, and each counterpart shall be deemed to be an original instrument. This Agreement shall be effective as to each of the undersigned Members as of the date signed by that signatory. Each signatory to this Agreement shall return the original to Zuckerman Spaeder, LLC, which will distribute a complete set of signed copies to counsel for each Member. 22) Additional entities or persons may subsequently join this Agreement by executing an addendum to the Agreement or a counterpart thereof, which shall only be effective with the prior written consent of the Members hereto. The addendum need only include the date and signature of the new Member. This Agreement is binding on successors and assigns.
