C ontracts are a critical part of doing business. They are particularly important in construction-related contracts. Your contract establishes how and when you get paid, what needs to be delivered, and how disputes are resolved. Buried within most contracts is the indemnity clause—a provision that can shift significant financial risks to one party. These clauses are rarely negotiated. The challenge with indemnity clauses is that they are written in legalese, making them difficult to understand. Ignoring these provisions, however, is a mistake.
