INTRODUCTION - HISTORY OF THE CLUB Your Club as presently organized, was incorporated pursuant to the laws of the State of Colorado, on March 28, 1922, for private social and athletic purposes, and not for pecuniary profit. The original incorporators were the Hon. J. Foster Symes, Myron K. Blackmer, William E. Porter, Ralph D. Brooks, C. Sewell Thomas, Tyson S. Dines, Sr., Frank L. Woodward, Edwin S. Kassler, Fred S. Brown, Henry C. Van Schaack, Robert E. MacCracken, George W. Gano, H. Ralph Antonides, Oscar L. Malo, and A.C. Foster. The corporate name of the Club was changed from “The Cherry Hills Club” to “Cherry Hills Country Club” on November 9th, 1945. The Club formerly leased the Clubhouse and golf course from The Cherry Hills Land Company and its predecessor, Greenwood Land Co. On December 1st, 1955 the Club was formally merged with the Cherry Hills Land Company and pursuant to the terms and provisions of the Merger Agreement, the Club corporation was obtained and now owns the legal title to all land, building, improvements, physical property and equipment used at the Club. As a member you are privileged to use the Club’s facilities and therefore you should be acquainted with how your Club operates, and just what your rights and privileges are. For this reason, the Club Bylaws are printed in this roster. You should also familiarize yourself with certain rules which govern the conduct of the members in and about the Clubhouse, grounds and upon the golf course, since these rules were made solely for your benefit and to protect you in your use and full enjoyment of the Club and the facilities which it offers. Provided each member will conduct himself in a manner and according to the social graces contemplated and prescribed by the rules of the Club, everyone will be able to enjoy to the fullest extent the Club’s functions, golf course and other facilities. It is with this thought in mind, that the House, Ground, Swimming, Tennis, and Electric Cart Rules are set forth hereinafter. Please read them and become acquainted with them, for the above reasons. If you should have any complaints to make regarding the Club’s operation, or the conduct of other members, you are privileged to make them at any time. However, since anonymous or oral complaints cannot be considered, such complaints should be made in writing and signed. All complaints should be referred to either the Chairman of the House Committee or to the Board of Directors, where they will receive appropriate attention and whatever action is deemed necessary or advisable will be taken as soon as possible. The Board of Directors, the Officers and Management of the Club want you to enjoy the facilities of your Club to the utmost, and to make your use of the Club one of life’s most enjoyable experiences. The Board, Officers and Management are all striving constantly to cooperate with you as a member and to make your Club the best of its kind in the entire country. It is hoped that you will make full use of the excellent facilities which your Club has to offer, and beyond anything and everything, let’s have fun while at Cherry Hills.

CHERRY HILLS COUNTRY CLUB BYLAWS (REVISED AND EFFECTIVE AS OF AUGUST 25, 2024)

_________________________________________________ ARTICLE I Section 1. Organization and Purpose. To maintain an incorporated nonprofit social and recreational private membership club, operated exclusively for the pleasure, recreation, and enjoyment of the members of Cherry Hills Country Club (“the Club”) (“Member” or, collectively, “Members” or “Membership,” the categories, and rights and responsibilities of which are described more fully below), no part of the net earnings of which inure to the benefit of any Member. Section 2. Goals and Objectives. The primary goal is to continuously aspire to be the best country club in Colorado and at the highest levels nationally. With that goal, the Board shall focus on the following objectives. (a) To seek and retain a Membership of outstanding quality. Membership will be limited to numbers appropriate to the facilities, camaraderie, and social activity. (b) To develop and maintain outstanding physical facilities, with primary attention directed to the care and improvement of a premier golf course, with excellent clubhouse, racquet sports, fitness, and aquatics facilities. (c) To operate the Club using sound business principles, retaining highly qualified, experienced management and staff. (d) To operate on a sound fiscal basis utilizing an appropriate financial reporting system. (e) To select dedicated and competent Members for service on the Board of Directors and to strive for continuity of Club policies in direction and management of the Club. (f) To continue fostering the Club’s national reputation by hosting major golf championships.

ARTICLE I

BYLAWS

ARTICLE II Form of Government

The determination of policy for and the ultimate control of the Club, its affairs, property, and funds shall be entrusted to a Board of Directors, subject to certain limitations (Article III), elected by the Members as provided in Article VIII. The various Standing and Special Committees (Article IV) shall assist the Board of Directors in the formulation of the Board’s policies and directions in particular areas. The Board of Directors shall elect Officers of the Club (Article V) and engage the services of a Chief Operating Officer (Article VI). The Officers and the Chief Operating Officer and Staff are responsible for implementing the policies and directions established by the Board of Directors. The Chief Operating Officer shall directly supervise and be responsible for all aspects of the Club’s operations including, without limitation, the Clubhouse; all food and beverage services; entertainment; grounds maintenance; golf, racquet sports, fitness, and aquatics activities; and the administrative and financial offices. The Chief Operating Officer shall be responsible for the employment and termination of all personnel employed or engaged by the Club; however, the Chief Operating Officer shall obtain the approval of the Board of Directors before employing or terminating the Golf Professional, Grounds Superintendent, or Director of Finance/Chief Financial Officer, all of whom shall report to the Chief Operating Officer. ARTICLE III Board of Directors Section 1. Number, Classes and Nomination. The Board of Directors shall be nine in number and shall be divided into three classes of three Members each (except as provided in Article V, Section 3). The term of office of one class shall expire at each Annual Meeting (Article VIII), when three Directors shall be elected by ballot to serve for three years (except as provided in Article V, Section 3). Any vacancy in the Board shall be filled by the remaining Directors by election of a Member to serve until the next Annual Meeting, at which time the Members shall elect such new Board candidate as nominated by the Board of Directors pursuant these Bylaws to serve for the balance of the unexpired term. No person shall be eligible to serve as a Director unless he or she is a current Resident Member and has been a Member for the preceding five years, and each Director may serve up to three consecutive terms subject to a recommendation to the Members by the Board of Directors upon the conclusion of any three-year term and election by the Membership pursuant to Article VIII, Section 6.

ARTICLE III

CHERRY HILLS COUNTRY CLUB The responsibility of nominating new directors to the Members shall be the responsibility of the Board of Directors and should be done in the best long-term interests of the Club. The Board of Directors shall be responsible for developing and maintaining a formalized, consistent, and repeatable vetting process year-to-year where the full Board has input into the process. Criteria to evaluate such candidates shall include, but not be limited to: (a) Having demonstrated that, during their time at the Club, they have put the best interests of the Club and the Membership above their own interests. (b) Having a high level of institutional knowledge of the Club. (c) Having a full understanding and deep respect for the Club’s history and its culture. d) Being a person of stature and achievement that is well known by the Members and our local community. (e) Having demonstrated relevant experience serving on similar governance boards, and (f) H aving the requisite time, passion, and energy to effectively conduct themselves as a member of the Board of Directors. The Board of Directors shall recommend a list of proposed Directors to the Membership pursuant to Article VIII, Section 6. Section 2. Powers. In addition to and not in restriction or limitation (except as provided in Section 3 of this Article) of the usual powers of like bodies, the Board of Directors [(or, as specifically set forth in these Bylaws, the Executive Committee thereof)] shall have the following powers: (a) T o determine policy for and to exercise control of the Club, its affairs, property, and funds. (b) To admit applicants for membership and to fine, suspend, or expel Members. (c) To make and enforce Rules for the conduct of the Members of the Club and for the use of Club property.

(d) To fix and enforce penalties for the violation of the Bylaws and Rules. (e) To remit penalties for offenses against the Bylaws and Rules. (f) To prescribe and publish Rules not inconsistent with these Bylaws for the admission of guests and visitors to the Club. (g) To call Special Meetings of the Members of the Club to consider specific subjects. (h) To make, alter, and amend Rules for the government of the Club and to fix and enforce penalties for the violation of such Rules. (i) To elect Officers (Article V), to remove any Officer or Director of the Club by two-thirds vote of those disinterested Directors, and to fill any vacancies among the Officers and Directors by a vote of the majority of those present at a Regular or Special Meeting of the Board called for that purpose. The person so elected shall hold office until the next Annual Meeting of the Club or until his or her successor is elected. (j) To authorize the creation of Special Committees, as necessary (Article IV), and to delegate to the Standing and Special Committees such powers of the Board as the Board shall see fit. (k) To select and engage the services of a Chief Operating Officer; to monitor the operations of such Chief Operating Officer, including compliance with policy, rules, and budgetary controls; and to terminate the services of such Chief Operating Officer if deemed to be in the best interests of the Club. (l) To repeal, alter, and amend these Bylaws by two-thirds vote of those Directors in attendance at a Board meeting, provided, however, that the language of such proposed repeal, alteration, or amendment shall first have been sent to all Members Eligible to Vote (as defined in Article VIII, Section 4) and there shall not have been received by the Secretary of the Club within 30 days after the sending of such notice written protests from at least one-third of the Members Eligible to Vote. In the event the Secretary has received the requisite number of written protests from Members, the procedures specified in Article VIII, Section 3 shall be invoked and the action of the Directors shall thereafter, with respect to such proposed repeal, alteration, or amendment of the Bylaws, be consistent with the outcome of such procedures.

ARTICLE III

CHERRY HILLS COUNTRY CLUB (m) To construe the Rules and Bylaws of the Club, which construction shall be final. (n) To annually adopt an operating budget and a capital improvement budget. (o) To select a certified public accountant to conduct the audit of the Club’s books and records. (p) To do all other things deemed by the Board necessary and expedient to control and manage the property and affairs of the Club not inconsistent with the Articles of Incorporation and Bylaws thereof. (q) To indemnify the Officers, Directors, Legal Counsel, and employees of the Club as provided in Section 6 of this Article. Section 3. Limitations. Notwithstanding anything provided in Section 2 of this Article, the power to take the following actions shall be exercised only by a majority vote of the Members actually voting at an Annual or Special meeting of the Club called for such purpose and in accordance with these Bylaws: (a) To mortgage the property of the Club in any amount; (b) To purchase, sell, or exchange any assets having a price of $5,000,000 or more, or make any non-maintenance or non-replacement related capital expenditure or associated capital expenditures totaling $5,000,000 or more in any 12-month period, which $5,000,000 limit shall be indexed and adjusted annually, to begin January 1, 2024 using the official government Consumer Price Index; provided, however, the provisions of Sections 3(a) and (b) requiring a Membership vote shall not apply to the purchase of any strategic real property (and any property- specific mortgage or other financing) so long as there is to be no assessment of the Membership in connection with such purchase. (c) To alter the categories of Club Membership or change the number of Members permitted in any particular category of Membership; and (d) To hold more than one major, national professional golf tournament at the Club during any ten-year period. Section 4. Regular and Special Board Meetings. The Board shall hold Regular Meetings at least once each quarter on a day to be set by the President. Special Board

BYLAWS Meetings may be called by the President at any time; however, the President must call a Special Board Meeting upon the written request of three members of the Board, and notice thereof and the business to be presented shall be given to each Board member before the time appointed for such meeting. A majority of the Board shall constitute a quorum. Except as otherwise provided herein, all matters shall be determined by a majority vote of those Directors in attendance at a Board meeting. Section 5. Annual Report. The Board of Directors, under the direction of the President and with the assistance of the Chief Operating Officer and his staff, shall prepare an Annual Report to the Members, which report shall be sent to each Member of the Club prior to the Annual Meeting in accordance with Article VIII of these Bylaws. A separate Financial Report, including the audited financial statement for the past year ended on December 31, shall be prepared and sent to each Member of the Club as soon as practicable upon the conclusion of the annual audit. Section 6. Indemnification of Officers and Directors. The Board of Directors of the Club shall have the power to: (a) Indemnify any person who was or is a party or is threatening to be made a party to any threatened, pending, or completed action, suit, or proceeding, whether civil, criminal, administrative, or investigative (other than an action by or in the right of the Club), by reason of the fact that he or she is or was a Director, Officer, Legal Counsel, or employee of the Club, against expenses (including attorney fees), judgments, fines, and amounts paid in settlement actually and reasonably incurred in connection with such action, suit, or proceeding if he or she acted in good faith and in a manner he or she reasonably believed to be in the best interests of the Club and, with respect to any criminal action or proceeding, had no reasonable cause to believe his or her conduct was unlawful. The termination of any action, suit, or proceeding by judgment, order, settlement, or conviction or upon a plea of nolo contendere or its equivalent shall not of itself create a presumption that the person did not act in good faith and in a manner that he or she reasonably believed to be in the best interests of the Club and, with respect to any criminal action or proceeding, had reasonable cause to believe that his or her conduct was not unlawful. (b) Indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action or suit by or in the right of the Club to procure a judgment in its favor by reason of that fact that he or she is or was a Director, Officer, Legal Counsel, or employee of the Club, against

CHERRY HILLS COUNTRY CLUB expenses (including attorney fees) actually and reasonably incurred by him or her in connection with the defense or settlement of such action or suit if he or she acted in good faith and in a manner he or she reasonably believed to be in the best interests of the Club; but no indemnification shall be made in respect of any claim, issue, or matter as to which such person has been adjudged to be liable for negligence or misconduct in the performance of his or her duty to the Club. (c) Indemnify a Director, Officer, Legal Counsel, or employee of the Club to the extent that such person has been successful on the merits in defense of any action, suit, or proceeding referred to in Subsection (a) or (b) of this Section or in defense of any claim, issue, or matter therein, against expenses (including attorney fees) actually and reasonably incurred by him or her in connection therewith. (d) Authorize indemnification under Subsection (a) or (b) of this Section (unless ordered by a court) in a specific case upon a determination that indemnification of the Director, Officer, Legal Counsel, or employee is proper in the circumstances because he or she has not met the applicable standard of conduct set forth in said Subsection (a) or (b). Such determination shall be made by the Board of Directors by a majority vote of a quorum consisting of Directors who were not parties to such action, suit, or proceeding, or, if such a quorum is not obtainable (or even if obtainable a quorum of disinterested Directors so directs) by independent legal counsel in a written opinion. (e) Authorize payment of expenses (including attorney fees) incurred in defending a civil or criminal action, suit, or proceeding in advance of the final disposition of such action, suit, or proceeding as authorized in Subsection (a) of this Section upon receipt of an undertaking by or on behalf of the Director, Officer, Legal Counsel, or employee to repay such amount unless it is ultimately determined that he or she is entitled to be indemnified by the Club as authorized in this Section. (f) Purchase and maintain insurance on behalf of any person who is or was a Director, Officer, Legal Counsel, or employee of the Club, against any liability asserted against him or her and incurred by him or her in any such capacity or arising out of his or her status as such, whether or not the Club would have the power to indemnify the person against such liability under the provisions of this Section.

BYLAWS

ARTICLE IV Committees

Section 1. Committees. The Standing Committees of the Club shall consist of the following: Executive Committee, Budget and Finance Committee, Membership Committee, and Heritage Committee. Unless otherwise provided in these Bylaws, all Standing Committees shall consist of the appropriate number of Members of the Board of Directors or Club or other persons (excluding Club staff and ex-officio members) under the direction of a chair, who shall be a current Member of the Board and appointed by and serve at the pleasure of the President. With the exception of the Executive Committee, all members of the Standing Committees shall be appointed annually by the Committee Chairs, with the consent of the President, and shall serve at the pleasure of the President. Members of any Standing Committee may be removed only by a majority vote of the Board. Other Committees, including Special Committees, may be established by the Board of Directors, at its discretion. The members of such Committees may be appointed by the President and/or the Chief Operating Officer, and may consist of Members from the Board of Directors itself or from the Members at large. No Committee shall exercise any power except as expressly delegated to it by the Board of Directors or by these Bylaws. In general, the Committees shall be advisory to the Board of Directors and shall assist the Board in the formulation of the Board’s policies and directions in particular areas, and shall not, except as herein otherwise specifically provided, exercise executive functions. The President, Vice President, and the Chief Operating Officer shall be ex-officio members of each Committee or sub-committee thereof. Section 2. Advisory Teams. Advisory Teams may be established by the Board of Directors, at its discretion. The members of such Advisory Teams may be appointed by the President and/or the Chief Operating Officer, and may consist of Members from the Board of Directors itself or from the Members at large or their spouses. No Advisory Team shall exercise any power except as expressly delegated to it by the Board of Directors. In general, the Advisory Teams shall be advisory to the Chief Operating Officer and the Board of Directors and shall assist the Chief Operating Officer and the Board in the formulation of the Board’s policies and directions in particular areas, and shall not exercise executive functions. The President, Vice President, and the Chief Operating Officer shall be ex-officio members of each Advisory Team. Section 3. Executive Committee. The Executive Committee shall be composed of the current President, the immediate past President, the Vice President, the Secretary and the Treasurer of the Club. In the event the immediate past President is unable or unwilling to serve, the President shall recommend another current Director to serve on the Executive Committee, subject to approval by the Board of Directors. CHERRY HILLS COUNTRY CLUB Committee shall provide assistance, counsel, and advice to the President in formulating and recommending overall policies and Bylaw changes to the Board of Directors regarding the affairs of the Club, and shall consider and impose Member discipline as necessary pursuant to Article VII, Section 16, subject to a Member’s right to appeal any such disciplinary decision to the Board of Directors. The Committee shall also handle such emergency or other matters as are delegated to the Committee by the Board of Directors for final action. Subject to later ratification by the full Board of Directors, the Executive Committee may act for the Board in emergency matters where it is not practical or feasible to convene a meeting of the full Board. Section 4. Budget and Finance Committee. The Budget and Finance Committee shall be composed of the Treasurer, who shall serve as the Chair of the Committee, together with other Members of the Club as may be selected by the Chair of the Committee with the consent of the President. The Committee shall be responsible for overseeing the financial affairs of the Club and, as appropriate, make recommendations to the Board regarding the current and future financial condition and/or affairs of the Club. The Committee, together with Club management, shall recommend to the Board for its approval a certified public accounting firm to conduct the audit of the Club’s books and records. The Committee shall serve as a resource to the Board of Directors, and shall, upon request by the Board, provide financial analysis regarding such matters as the Board may direct. The Committee shall also have oversight responsibility for the various insurance coverages as carried or needed by the Club, as Officers and Directors, and Management for their protection. Section 5. Membership Committee. The Membership Committee shall receive from all applications for membership, see that they are made in compliance with these Bylaws, and report its recommendations as to the admission of applicants to the Board of Directors. Except for the name of the Chair, the names of the members of this Committee shall not be published. Any Member serving on the Membership Committee cannot sponsor or second an application for membership during his or her term of office on such Committee. It shall be the duty of the Membership Committee to recommend and submit to the Board of Directors for its approval, rules governing the membership application process. The Chair of the Membership Committee shall not be eligible to serve for a period of more than five years. The Membership Committee may consist of as many members as the Chair and President, in their discretion, shall determine to be appropriate. Section 6. Heritage Committee. The Heritage Committee, in conjunction with the Chief Operating Officer and subject to the approval of the Board of Directors, shall

BYLAWS be responsible for matters pertaining to the history of the Club and the preservation thereof, and all memorabilia incident thereto. The Committee shall advise the Board of Directors on the collections and preservation of Club history. The Committee shall collect and preserve all records, files, documentation, artwork, and other memorabilia pertaining to the history of the Club. The Committee shall report periodically to the Board of Directors on its work. The Chief Operating Officer shall have the authority, subject to the approval of the Board of Directors, to designate areas for the display of Club history, with the Heritage Committee being advisory to the Chief Operating Officer in making such designation as to the appropriate historical memorabilia to be displayed. The Committee shall consist of Members who shall have been Members of the Club in good standing consistently for at least ten years. The Committee may consist of as many members as the Chair, with the consent of the President, shall deem to be appropriate. ARTICLE V Officers Section 1. Officers. The Officers of the Club shall be a President, Vice President, Secretary, and Treasurer, each of whom shall be a member of the Board of Directors. Section 2. Election. All Officers shall be elected by the Board of Directors prior to the Annual Meeting, to take office at the Annual Meeting. Other than the President (as provided in Section 3 of this Article), all Officers shall take office at the Annual Meeting immediately following their election, shall hold their respective offices until the next Annual Meeting or until their successors are duly qualified and elected, and may serve multiple terms at the pleasure of the Board of Directors. Section 3. President. The President shall preside at all meetings of the Club and the Board of Directors and, on behalf of the Board of Directors, shall have general supervision over the affairs of the Club, its property, and employees, and, in that regard, shall work closely with the Chief Operating Officer. The President shall be an ex-officio member of all Committees. By and with the approval of the Board, he or she shall make and execute all significant contracts for and on behalf of the Club. Except as otherwise provided herein, following the election of Officers, the President shall appoint the Chairs of the Standing Committees, who shall serve at the pleasure of the President. Special Committees, when authorized by the Board of Directors, may be appointed by the President, either from the Board of Directors itself or from the Members at large.

ARTICLE V
