BYLAWS
(d) To fix and enforce penalties for the violation of the Bylaws and Rules. (e) To remit penalties for offenses against the Bylaws and Rules. (f) To prescribe and publish Rules not inconsistent with these Bylaws for the admission of guests and visitors to the Club. (g) To call Special Meetings of the Members of the Club to consider specific subjects. (h) To make, alter, and amend Rules for the government of the Club and to fix and enforce penalties for the violation of such Rules. (i) To elect Officers (Article V), to remove any Officer or Director of the Club by two-thirds vote of those disinterested Directors, and to fill any vacancies among the Officers and Directors by a vote of the majority of those present at a Regular or Special Meeting of the Board called for that purpose. The person so elected shall hold office until the next Annual Meeting of the Club or until his or her successor is elected. (j) To authorize the creation of Special Committees, as necessary (Article IV), and to delegate to the Standing and Special Committees such powers of the Board as the Board shall see fit. (k) To select and engage the services of a Chief Operating Officer; to monitor the operations of such Chief Operating Officer, including compliance with policy, rules, and budgetary controls; and to terminate the services of such Chief Operating Officer if deemed to be in the best interests of the Club. (l) To repeal, alter, and amend these Bylaws by two-thirds vote of those Directors in attendance at a Board meeting, provided, however, that the language of such proposed repeal, alteration, or amendment shall first have been sent to all Members Eligible to Vote (as defined in Article VIII, Section 4) and there shall not have been received by the Secretary of the Club within 30 days after the sending of such notice written protests from at least one-third of the Members Eligible to Vote. In the event the Secretary has received the requisite number of written protests from Members, the procedures specified in Article VIII, Section 3 shall be invoked and the action of the Directors shall thereafter, with respect to such proposed repeal, alteration, or amendment of the Bylaws, be consistent with the outcome of such procedures.
