CHERRY HILLS COUNTRY CLUB Committee shall provide assistance, counsel, and advice to the President in formulating and recommending overall policies and Bylaw changes to the Board of Directors regarding the affairs of the Club, and shall consider and impose Member discipline as necessary pursuant to Article VII, Section 16, subject to a Member’s right to appeal any such disciplinary decision to the Board of Directors. The Committee shall also handle such emergency or other matters as are delegated to the Committee by the Board of Directors for final action. Subject to later ratification by the full Board of Directors, the Executive Committee may act for the Board in emergency matters where it is not practical or feasible to convene a meeting of the full Board. Section 4. Budget and Finance Committee. The Budget and Finance Committee shall be composed of the Treasurer, who shall serve as the Chair of the Committee, together with other Members of the Club as may be selected by the Chair of the Committee with the consent of the President. The Committee shall be responsible for overseeing the financial affairs of the Club and, as appropriate, make recommendations to the Board regarding the current and future financial condition and/or affairs of the Club. The Committee, together with Club management, shall recommend to the Board for its approval a certified public accounting firm to conduct the audit of the Club’s books and records. The Committee shall serve as a resource to the Board of Directors, and shall, upon request by the Board, provide financial analysis regarding such matters as the Board may direct. The Committee shall also have oversight responsibility for the various insurance coverages as carried or needed by the Club, as Officers and Directors, and Management for their protection. Section 5. Membership Committee. The Membership Committee shall receive from all applications for membership, see that they are made in compliance with these Bylaws, and report its recommendations as to the admission of applicants to the Board of Directors. Except for the name of the Chair, the names of the members of this Committee shall not be published. Any Member serving on the Membership Committee cannot sponsor or second an application for membership during his or her term of office on such Committee. It shall be the duty of the Membership Committee to recommend and submit to the Board of Directors for its approval, rules governing the membership application process. The Chair of the Membership Committee shall not be eligible to serve for a period of more than five years. The Membership Committee may consist of as many members as the Chair and President, in their discretion, shall determine to be appropriate. Section 6. Heritage Committee. The Heritage Committee, in conjunction with the Chief Operating Officer and subject to the approval of the Board of Directors, shall
