CHERRY HILLS COUNTRY CLUB Subject to Article VIII and beginning with the 2025 Annual Meeting, the term of the President shall be three years, starting from the Annual Meeting at which he or she is elected. The President must be a member of the Board of Directors at all times during his or her term as President. The Board of Directors may, during the last year of the President’s then-current term, by two-thirds vote of those Directors in attendance at a Board meeting, extend the term of the President for an additional three years. There shall be no limit as to the number of consecutive terms a President may serve. In the event that the President’s term on the Board would terminate prior to the completion of his or her term as President, including any extensions thereof, his or her Board term shall automatically be extended until such time he or she is no longer President. In such case, a Director may be proposed by the Board and elected by the Membership to serve for a term of less than three years, as needed to keep each class of Directors at three. Section 4. Vice President. A Vice President shall be elected in accordance with Section 2 of this Article and, in the absence of the President, the Vice President shall perform the duties of the President. Should neither the President nor the Vice President be present at a meeting, a member of the Board of Directors shall be elected by those present as acting president for such meeting. Section 5. Secretary. The Secretary shall be responsible for all official correspondence of the Board, subject to the general supervision of the President, and shall cause notices of all meetings of the Membership and the Board of Directors to be sent as provided by these Bylaws. He or she shall be responsible for the record of the meetings of the Club and the Board of Directors, shall maintain a list of the Members, and shall perform such other duties as may from time to time be fixed by the Board of Directors or these Bylaws, the Club, and the laws of the State of Colorado. Section 6. Treasurer. The Treasurer shall serve as Chair of the Budget and Finance Committee and shall oversee the collection and disbursement of the funds of the Club by the Chief Operating Officer as delegated by the Board of Directors. He or she shall be periodically advised by the Chief Operating Officer and Chief Financial Officer regarding the accounts and indebtedness of the Club, and the payment of bills, as well as the accounting records and systems being used by the Club. The Treasurer shall have access to all of the books and records of the Club at all times, which shall be open to inspection by any member of the Board of Directors, and shall provide periodical reports to the Board of Directors at the request of the President, with support from the Chief Operating Officer and Chief Financial Officer. The Treasurer shall be responsible for ensuring that the Club’s books and records are annually audited by a certified public accountant in a timely manner and shall bring to the attention of the Board of Directors any matter disclosed
