BYLAWS by such audit and all recommendations made by the Club’s auditor. He or she shall oversee the Budget and Finance Committee’s preparation of a Financial Report, including the audited financial statement for the past year ended on December 31, which shall be prepared and sent to each Member of the Club no later than March 31 of each year.
ARTICLE VI Chief Operating Officer
Section 1. Responsibilities. The Chief Operating Officer shall be responsible for the proper management of all aspects of the Club’s activities. The Chief Operating Officer shall report to the Board of Directors and shall serve at the pleasure of the Board. The Chief Operating Officer’s performance shall be reviewed annually by the President and such other Directors as selected by him or her. Section 2. Duties. The Chief Operating Officer shall administer and manage all Club operations and shall devote his or her time and abilities exclusively to the operations of the Club and its facilities within the framework of general policy promulgated by the Board of Directors. The Chief Operating Officer’s duties shall include the following: (a) To provide the overall administration of the Club pursuant to the policies adopted by the Board of Directors and within the general provisions of these Bylaws, the House Rules, and Ground Rules. (b) To conduct, in association with the President and his or her designee(s), an annual review of the Head Golf Professional, Director of Grounds, and the Director of Finance/Chief Financial Officer. To hire, terminate, and supervise all other Club personnel; to assist in establishing personnel policies, compensation, benefit programs, job descriptions and personnel procedures; and to administer all Club policies, programs and procedures. (c) To coordinate the various activities of the Club and to achieve the appropriate cooperation and coordination of the various operations, Committees, Advisory Teams, departments, and units of the Club. (d) To communicate with the Board of Directors, Club Members, Committees, Advisory Teams, staff members, and the community as necessary to accomplish the goals and objectives of the Club.
