CHERRY HILLS COUNTRY CLUB (e) To attend meetings of the Board of Directors and the various Committees and Advisory Teams with respect to which he or she shall be designated an ex-officio member and to arrange for proper minutes to be maintained for all Committee Meetings. (f) The Chief Operating Officer may delegate his or her authority to various department heads, but he or she shall remain responsible for all operations of the Club. (g) The Chief Operating Officer shall be responsible for preparing annually a proposed operating budget and a proposed capital improvements budget, which shall correspond in form to the Club’s monthly financial statement. The proposed budget shall be submitted to the Budget and Finance Committee for review and revision as necessary and for recommendation for adoption by the Board of Directors. (h) To establish directives, manuals, work schedules, rules, and regulations for the conduct of the Club activities and to approve directives prepared by Department Heads. (i) To discharge such other duties as may be assigned to him or her by the Board of Directors. Section 3. Authority. The Chief Operating Officer shall have authority to manage and administer the Club and its operations in conformity with the policies established by the Board of Directors, the Club’s Bylaws, House Rules, and Ground Rules. In general, he or she shall have authority to supervise personnel and to administer all areas of the Club’s operations. The Chief Operating Officer shall employ and terminate the Head Golf Professional, Director of Grounds, and the Director of Finance/Chief Financial Officer, subject to the approval of the Board of Directors. The Chief Operating Officer, for and on behalf of the Club, shall have the authority to make and execute all contracts arising in the ordinary course of business, provided however, that the cumulative financial obligation under each such contract may not exceed $100,000 without the knowledge and approval of the President. ARTICLE VII Membership Section 1. Classes of Members. Members of the Club shall be divided into the several classes hereinafter described in this Article.
