BYLAWS

2. Violation of any Bylaw. 3. Violation of any of the rules adopted by the Board of Directors governing the use of the Clubhouse, grounds, or other facilities of the Club. 4. For any conduct that, in the sole discretion and opinion of the Executive Committee or the Board of Directors, as the case may be, is prejudicial to the good order, discipline, morals, reputation, or general welfare of the Club. 5. Conviction of any criminal offense that, in the sole discretion and opinion of the Executive Committee or the Board of Directors, as the case may be, is prejudicial to the good order, discipline, morals, reputation, or general welfare of the Club. 6. For filing a lawsuit or similar action against the Club, its management or employees, or its Officers or Directors for any matter or matters pertaining to the Club. (b) A proceeding to reprimand, suspend, or expel a Member may be instituted by the Executive Committee or the Board of Directors, based upon their knowledge of any violation of Subsection (a) of this Section, or upon the written complaint of any other Member belonging to the Club. However, no Member shall be reprimanded, suspended, or expelled until after a majority of the members of the Executive Committee in attendance at a hearing shall have voted for such reprimand, suspension, or expulsion following a hearing for such purpose at which the Member shall be given the opportunity to appear and to present a defense as to any of the matters complained against said Member. The failure of said Member either to appear or to present a defense shall not, however, prevent the Executive Committee from proceeding to hear evidence and to take whatever action they shall see fit to take under the provisions of these Bylaws. A Member shall have the right to appeal the decision of the Executive Committee to the Board of Directors, which may affirm, reject, or modify the decision of the Executive Committee as it, in its sole discretion, shall determine, following a de novo hearing (which shall include all of the procedures described herein) for such purpose. (c) The Executive Committee may, in its sole discretion, before instituting a proceeding to reprimand, suspend, or expel a Member, as hereinabove set forth, request that a Member submit his or her resignation, in writing.
