BYLAWS discretion. It shall be the responsibility of each Member to provide the Club with a current mailing and e-mail address to which notices shall be sent; a Member may opt out of the e-mailing of notices, in which case they will be mailed to such member. If a Member fails to provide a current mailing or e-mail address, notices may be sent to the address on file for the Member. Any notices sent to the Member’s then-current mail or e-mail address on file shall be presumed to have been received in the normal course of business. ARTICLE VIII Annual and Special Meetings of the Membership, Election of Directors, Voting on Certain Membership Issues, and Voting Procedures Section 1. Annual Meeting of the Membership. The Annual Meeting of the Club shall be held in November on the Tuesday of the week preceding Thanksgiving of each year at 6:00 p.m. at the Clubhouse, or at such other convenient place and/or by such convenient method (including but not limited to video conference) as the President shall designate. Forty-five days’ written notice of the date, time, and place of the Annual Meeting shall be given to all Members Eligible to Vote. Members other than those Members Eligible to Vote may, at the discretion of the President, be invited to attend the Annual Meeting, but shall not be allowed to vote. Section 2. Order of Business. Unless otherwise determined by the President, the order of business at the Annual Meeting shall be: 1. Call to Order/confirm that a quorum is present. 2. Reading of Minutes. 3. Necrology

4. Committee Reports. 5. President’s Report. 6. Election of Directors. 7. Introduction of New Officers 8. Other business or voting.

Section 3. Special Meeting of the Membership. The President may, at any time, or upon the request of the majority of the Board of Directors or at least one-third of the Members Eligible to Vote shall, call a Special Meeting of the Membership by notifying the Secretary and directing him or her to provide notice to all Members Eligible to Vote. The President shall also call such a Special Meeting whenever the Secretary shall have received within 30 days after mailing the proposed Bylaw change(s) written signed protests to such
