CHERRY HILLS COUNTRY CLUB proposed change(s) from at least one-third of the Members Eligible to Vote. Any such Special Meeting shall be held in person at the Clubhouse or at such other convenient place and/or by such convenient method (including but not limited to video conference) as the President shall designate. Fifteen days’ written notice of the date, time, and place of any Special Meeting shall be given to all Members Eligible to Vote. Members other than those Members Eligible to Vote may, at the discretion of the President, be invited to attend the Special Meeting, but shall not be allowed to vote. Section 4. Members Eligible to Vote. Only Members Eligible to Vote may vote at an Annual or Special Meeting of the Membership. Members Eligible to Vote is defined as Resident and Honorary for Life Members in good standing. For purposes of Article III, Section 2(l), Article VIII, Section 3, and Article VIII, Section 6(b), the calculation of at least one-third of the Members Eligible to Vote shall use as the denominator the actual number of Members in the Honorary for Life and Resident categories at the time. Section 5. Quorum. At any Annual or Special Meeting of the Membership of the Club, 50 Members Eligible to Vote, appearing in person or by proxy, shall constitute a quorum, but a smaller number may, for lack of a quorum, adjourn the Meeting to a future day and hour, giving at least five days’ written notice of such adjourned Meeting to each Member Eligible to Vote. Section 6. Method of Election of Directors. (a) The Directors of the Club shall be elected by the voting of written ballots and proxies at an election to be held on the day of the Annual Meeting, in accordance with the procedures set forth in this Section and Section 7 below. (b) Forty five days prior to the Annual Meeting, the Secretary shall send to the Members a list of the Director candidates recommended and approved by the Board of Directors, as well as a description of each candidate’s credentials and the rationale for such recommendation. The Secretary shall also post such information on the Club bulletin board and website, and such information shall remain posted until such election. At least one-third of the Members Eligible to Vote may likewise nominate an equal number of other candidates by certifying to the Secretary, in writing, at least 30 days before the election, an alternate list of their candidates, as well as a description of each candidates’ credentials and the rationale for such recommendation, accompanied by the written acceptance of such Nominees signed by the candidates themselves.
