No candidate shall be eligible for the office of Director unless he or she has been nominated and his or her name posted as hereinabove provided. (c) When the time has expired within which nominations may be made, the Secretary shall cause the names of all properly nominated and eligible candidates to be printed upon one ballot (or proxy), designating under appropriate headings those approved by the Board and those nominated by the Members, and shall send a form of proxy to all Members Eligible to Vote at least 15 days before the Annual Election. Ballots and proxies shall be voted in the manner set forth in Section 7 below, except as specifically provided in this Section 6(c). Each Member Eligible to Vote desiring to vote shall mark an “X” on the ballot or proxy opposite the name of the candidate for whom he or she desires to vote and shall sign his or her name thereto. Each Member Eligible to Vote may vote for as many candidates as there are vacancies on the Board of Directors. If it shall appear on any ballot that any Member Eligible to Vote has voted for more candidates than there are vacancies on the Board of Directors, or accumulated his or her vote on one or more candidates, or failed to sign his or her name thereto, such ballot may be rejected by the tellers of the election. The election of Directors shall be by a plurality of all ballots cast; in case of a tie vote and all candidates cannot be elected, the tellers shall determine by lot the candidate or candidates declared to be elected. Section 7. Method of Voting on Certain Membership Issues. Whenever a matter shall be brought before the Members Eligible to Vote at an Annual or Special Meeting for a vote, as required by Article III, Section 3 or otherwise, the method for voting on such matter shall be as follows: an explanation of the matter to be voted upon shall be prepared by the Secretary and sent to all Members Eligible to Vote at least fifteen days before the date of the Meeting. The procedure for voting shall be by written ballot cast at the meeting or by proxy voted at the meeting. (a) Voting by written ballot. A Member Eligible to Vote may vote by written ballot to be cast in person at the Clubhouse or such other convenient place as designated by the Secretary on the date of the Annual or Special Meeting during the time when the polls are open. The polls shall remain open no less than from 12:00 p.m. to 6:30 p.m. on the date of the meeting, unless otherwise designated by the Secretary. The written ballot must be clearly marked in accordance with the instructions thereupon and signed by the Member Eligible to vote. Any
