MANAGEMENT AGREEMENT This Agreement is entered into as of this 1st day of April, 2022 by and between THE VERSAILLES CONDOMINIUM ASSOCIATION, a non‐profit California Corporation, (hereinafter referred to as “Association”) and Buck, Reynolds Corporation dba Premier Community Association Management (hereinafter referred to as (“Agent”).

IT IS MUTALLY PROMISED AND AGREED AS FOLLOWS:

ARTICLE I GENERAL

1.1 Appointment. For valuable consideration and in consideration of the services to be performed by Agent, Association hereby appoints Agent and Agent hereby accepts appointment, to manage the property and activities of Association as they relate to the certain real property County of Riverside, State of California and commonly known as THE VERSAILLES CONDOMINI UM ASSOCIATION (hereinafter referred to as “Property”) and agrees to pay Agent the compensation hereinafter provided. Each party expressly warrants to the other that is duly authorized to execute this Agreement. 1.2 Agency Relationship Between Association and Agent. Everything done by Agent under the provisions of this Agreement shall be done as agent of Association and all obligations or expenses incurred thereunder shall be for the account, on behalf, and at the expense, of Association. Payments to be made by Agent in the performance of the Services (as defined below) shall be made from the account of the Association or as may be provided by the Association. 1.3 Agent’s Employees. Agent shall exercise complete control of and supervision over Agent’s employees. The relationship between Association and Agent shall be that of owner and agent and not employer and employee. Neither Association nor any of its members shall have the right or the obligation to supervise the employees of Agent. Complaints or concerns regarding the activities or performance of Agent’s employees should be directed to the appropriate representative of the Agent. It is understood that Agent’s employees will observe holidays, be allowed vacation time and be eligible for sick leave i n accordance with Agent’s policies. Agent shall be solely responsible for compliance with all laws and regulations with respect to Agent’s employees, but not limited to, payment of social security contributions, payroll taxes and compliance with federal and state withholding requirements. Notwithstanding anything to the contrary set forth herein, in the event Association objects to a certain employee(s) of Agent, Agent shall permanently relieve such employee(s) from duty at the Property. 1.4 Insurance. Unless otherwise approved in writing by Association, Agent shall maintain for its own operations, and cause all contractors and subcontractors engaged to perform work on the Property to maintain the following insurance coverages:
