Agent is not obligated to indemnify Association in any manner whatsoever for Association’s negligence.
A.
4.5 Employees of Association. If it becomes necessary for Association to have dedicated employees, said employees may become employees of Agent. All costs associated including payroll, employment taxes, and all benefits as well as a cost charged by the Agent for coordinating and processing payroll, monitoring benefits, and providing oversight to employees shall be paid by Association.
4.6 Audit and Tax Fees. All audit, tax, and legal fees, authorized by the Board, and incurred for the benefit of the Association, shall be paid for by the Association.
ARTICLE V TERM
5.1 Term. The term of this Agreement shall commence on TBD, and shall continue through TBD. At the expiration of such term, this Agreement, if not renewed in writing for an additional period shall automatically renew on a year‐to‐year basis. 5.2 Required Notification of Breach. In the event Agent breaches any term of this Agreement, Association must advise Agent of specific breach in writing. Agent shall cure within thirty (30) days of receipt of notice. Should the breach not be cured within thirty (30) days, the Association may provide written of termination pursuant to section 5.2 below, otherwise the breach shall be considered cured. 5.3 Termination with or without cause. This Agreement may be terminated by either party without cause anytime effective sixty (60) days after written notice delivered to the other party. In such event, this Agreement shall terminate and except as expressly set forth herein, neither party shall have additional liability hereunder.
5.4 Notices. All notices required to be delivered hereunder shall be delivered by hand, reliable overnight courier or first‐class mail, postage prepaid, at the following addresses:
