SEABREEZE MANAGEMENT COMPANY COMMON INTEREST DEVELOPMENT CONTRACT
1. PARTIES
1.1 The parties to this contract are VILLAGE RACQUET CLUB ASSOCIATION and SEABREEZE MANAGEMENT COMPANY, INCORPORATED (collectively referred to herein as the “ parties ” ).
1.2 The Village Racquet Club Association is a California non-profit mutual benefit corporation (hereinafter, “ Association ” ).
1.2.1 Association is responsible for operation of certain real property in Riverside County, California ( “ property ” ). Association wants to contract with Seabreeze Management Company, Incorporated, to have it manage this responsibility.
1.3 Seabreeze Management Company, Incorporated, is a California corporation, which does business under the name Seabreeze Management Company (hereinafter “ Seabreeze ” ).
2. APPOINTMENT, TERM, STATUS
2.1 Association hereby appoints Seabreeze as its managing agent. The term “ Managing Agent ” as used herein has the same meaning as in the Davis-Stirling Common Interest Development Act. (California Civil Code section 4000, et seq.) Seabreeze accepts this appointment on the terms detailed in this contract.
2.2 The term of this contract is one year from April 1, 2022 through March 31, 2023 (“term”).
2.2.1 This agreement automatically renews from year to year, unless it is appropriately terminated by either party (“renewal term”). See provisions regarding termination, below.
2.2.1.1 Appropriate termination of this contract requires written notice given at least 60 days before the end of any term or renewal term.
2.3 Seabreeze is an independent contractor.
3. SEABREEZE ’ S DUTIES
3.1 As detailed herein, Seabreeze will undertake reasonable efforts to implement lawful decisions of the Association ’ s Board of Directors ( “ the Board ” ). The Board, not Seabreeze, is responsible to determine the lawfulness of the Board ’ s decisions. The Board may do so in consultation with legal counsel. Nevertheless, Seabreeze is not obligated to implement a Board decision that: 3.1.1 Is contrary to: the terms of this Agreement; applicable law; or the Association ’ s governing documents (e.g., Declaration of Covenants, Conditions and Restrictions ( “ CC&Rs ” ), the Articles of Incorporation, the Bylaws, Association Operating Rules and other documents that govern the Association);
