5. ASSOCIATION MEETINGS

5.1 Seabreeze will prepare meeting notices and agendas. It will attend the annual Association membership meeting. It will attend one regular Board meeting every month, not to exceed 2 hours long. None of these meetings will be held on weekends, holidays or Fridays. Meetings will start no later than 7:00 PM. 5.2 Association agrees to pay Seabreeze fees as detailed in Exhibit ‘ A ’ if it wants Seabreeze to attend additional Board meetings, or holiday or weekend meetings. Seabreeze must agree, in advance, to attend the meeting.

6. RECORDS AND CORRESPONDENCE

6.1 Seabreeze will maintain custody of the Association ’ s financial records during the term of this contract. These records include, but are not limited to: bank statements; financial statements; and reserve reports. 6.2 Seabreeze will maintain an owners ’ list, in accordance with current information as supplied by Association. Seabreeze is not obligated to discover ownership transfers not reported by Association. Seabreeze has no obligation to search public records for transfers. Seabreeze has no duty to maintain a list of non-owner tenants.

6.3 Seabreeze will record changes of ownership on receipt of appropriate supporting documentation. New owners must pay Seabreeze a fee for processing changes in ownership.

6.4 Seabreeze will maintain a complete file of all records, documents, and correspondence it receives or generates related to the business of the Association.

6.5 All records and correspondence regarding the Association and maintained by Seabreeze are the Association ’ s sole property. As discussed below, on termination of this agreement, Seabreeze will return all such records and correspondence to the Association, or to such other person or entity as designated by the Board. Data stored on electronic media is Seabreeze ’ s sole property. Delivery of hard copies of records and correspondence to the Association, or to the Board ’ s designee(s), will be at Seabreeze ’ s office. Seabreeze may, at its election and sole expense, retain hard copies of all records and correspondence.

7. FISCAL AND ACCOUNTING SERVICES

7.1 At the Board ’ s request, Seabreeze will help the Association prepare its annual operating budget ( “ budget ” ).

7.2 Seabreeze will do its best to assist the Board in managing the Association within the guidelines of the budget.

7.3 At the Board ’ s request, Seabreeze will aid in the preparation and distribution of the Association ’ s annual financial report ( “ report ” ). Unless directed otherwise by the Board, Seabreeze will make copies of the report available to all Association members that ask for one in writing.
