11.4 Seabreeze will help Association establish its reserve account(s) in bank(s) or other financial institutions of the Association ’ s choice, in accordance with pertinent California Department of Real Estate regulations and the law.

11.5 Association warrants that transfers to, withdrawals from, and deposits to, reserve accounts will only be accomplished in accordance with the provisions of California Civil Code Section 5510.

12. ASSESSMENTS

12.1 All members of the Association must pay assessments in accordance with the CC&Rs. Members will mail their assessment checks to an address as established by Seabreeze, or if applicable, pay by credit card as detailed above. Seabreeze is not responsible for bank errors, postal delay or errors, or other irregularity in deposit of assessment checks to the Association ’ s operating account.

13. INDEMNIFICATION

13.1 Association agrees to defend and indemnify Seabreeze (including its employees, officers, agents and directors) from and against any and all claims, liabilities, costs, suits, losses, damages and attorney ’ s fees, which result directly or indirectly from Seabreeze ’ s performance of this contract, except those caused by Seabreeze ’ s willful misconduct or sole negligence. This clause shall survive the term of this contract.

14. INSURANCE

14.1 Association will, at all times while this contract remains in effect, maintain a policy of Directors and Officers Errors and Omissions coverage as well as general liability insurance, which meets the following qualification:

14.1.1 The policies are issued by carriers admitted to sell policies of that type by the Insurance Commissioner of the State of California;

14.1.2 The general liability policies must include broad form coverage;

14.1.3 To the extent available the general liability policy must include contractual liability coverage for all of the Association ’ s indemnity obligations (including those stated above in section 13);

14.1.4 The pertinent policies must include coverage for host liquor liability;

14.1.5 The general liability policy must include coverage for products liability and completed operations;

14.1.6 The policies must have limits of at least $1 million per occurrence.
