16.2.2 Association will reimburse Seabreeze for postage, copying, messenger service, supply expenses, etc. incurred in performance of this contract, as disclosed in Exhibit ‘ A. ’ The parties agree that the postal rates listed in Exhibit ‘ A ’ will increase in tandem with any increase in U.S. Postal Service rates. Prices listed in Exhibit A are subject to change with 30-day prior written notice to association.
17. TERMINATION
17.1 This contract can be terminated without cause only at the end of any term or renewal term. Either party may so terminate only on 60 days’ advance written notice.
17.2 If the Association terminates this contract without cause, it understands that Seabreeze is entitled to its management fee for the remainder of the term or renewal term, whether or not Association actually allows Seabreeze to perform management services during that time. 17.3 All amounts due Seabreeze at termination of this contract are payable when Seabreeze returns the Association ’ s property to it or to its assigned representative. At the Association ’ s request Seabreeze will assist any successor management company with transition of management services during the notice period.
18. ARBITRATION AND LITIGATION
18.1 Any party contemplating litigation against any other party will, before initiating litigation, draft a complete and detailed written statement of its grievance(s) against the other party, and will have that statement delivered to the other party at least 30 days before initiating any litigation or arbitration. This statement will not be privileged, and will be an admission, admissible against the drafting party in any later litigation or arbitration. If the receiving party does not agree to cure any breach identified therein, or does not agree a breach has occurred or is occurring, the parties will proceed to arbitration of their dispute as detailed below. This provision applies to cross-complaints or counter-claims. Any party breaching this provision forfeits the benefit of the Attorneys ’ Fees provision set forth below in any related litigation.
18.2 Any controversy or claim arising out of or related to this contract will be settled by arbitration
18.2.1 The arbitration will take place in Orange County, California.
18.2.2 The arbitrator will be a retired Justice of the California Court of Appeal or Superior Court Judge affiliated with JAMS. The arbitrator will be chosen by mutual agreement of the parties. If the parties cannot so agree, then the arbitrator will be chosen as follows:
18.2.2.1 JAMS will make a list of five qualified arbitrators, and send the list to each of the parties;
18.2.2.2 Each party will strike two names from the list;
18.2.2.3 Each party will rank the three remaining names on the list, 1 through 3, 1 being best;
