18.2.2.4 JAMS will assign the non-striken arbitrator with the lowest ranking as arbitrator.
18.2.3 The arbitrator ’ s award will be final, and judgment thereon may be entered in any court of competent jurisdiction.
18.3 The parties agree that they will bring any litigation that arises out of or relates to this contract only in a California Superior Court properly exercising jurisdiction.
19. ATTORNEYS ’ FEES
19.1 If any party to this contract institutes litigation (including but not limited to a lawsuit, arbitration, or the like) to enforce any provision of this agreement, then the prevailing party is entitled to recover its reasonable attorney ’ s fees and costs related thereto. This provision is subject to the terms and conditions of paragraph 18.1, above.
20. MISCELLANEOUS
20.1 Notice: Any notice required or permitted by this contract will be given in writing. It must be personally delivered, or mailed certified, return receipt requested, restricted delivery, as follows:
20.1.1 To Seabreeze:

20.1.2 To Association: Notice from Seabreeze to Association will be addressed to the Board and delivered to: The President of the Board at his or her mailing address of record with the Association, or the Association ’ s legal counsel, or the successor management company, or Association’s agent for service. 20.2 Entire Agreement : This contract is the whole agreement between the parties. This contract is merged, and no prior or contemporaneous discussions or representations of the parties not expressly contained herein are a part of the agreement of the parties.
20.3 No modification Except in Writing : This contract will not be modified, except in writing signed by both parties.
20.4 Interpretation : Association and its Board have read and understand this contract. Association and its Board have had an opportunity to have this contract reviewed by counsel of their choosing. Accordingly, this contract will be deemed to have been drafted jointly by the parties, and it will be interpreted without regard to the identity of the drafter.
