20.5 Severability : If a court declares any part of this contract to be invalid or unenforceable, the remaining parts will remain in full force and effect.
20.6 Authority : The President or Secretary or other executing officer of the Association warrants that they are executing this contract with the full authority of the Association and its Board of Directors. Likewise, the person executing this agreement for Seabreeze warrants his or her authority to do so. 20.7 Successors and Assigns : This Agreement will be binding upon and inure to the benefit of the successors and assigns of either party. This Agreement shall be binding on the parties hereto, their heirs, executors, administrators, successors and assignees, and constitutes the full agreement except that subsequent changes or additional provisions must be in writing and executed by both parties.
20.8 Construction : This contract will be construed in accordance with the laws of the State of California.
20.9 Assignment : Either party may assign its rights or delegate its duties under this contract without the prior written consent of the other.
20.10 Headers : Headers used in this contract are for the convenience of the parties. They are not to be considered in construction of the contract.
20.11 Disclosure : Isaiah Henry is the owner of Seabreeze Management, Inc., which provides management and maintenance services to community associations. Pursuant to California Civil Code 5375, the following licenses and certifications are held by the directors or officers of Seabreeze Management Company, Inc.:
20.11.1 Certified Manager of Community Association (CMCA ® ) issued by Community Associations Institute (CAI) expiring on 10/1/2023.
20.11.2 Certified Community Association Manager (CCAM ® ) issued by the California Association of Community Managers; expiring on 12/31/2023.
20.11.3 Accredited Association Management Company (AAMC ® ) issued by Community Associations Institute (CAI) expiring on 8/1/2024.
