Board and Executive Leadership

Board Independence

At Trex, we believe transparent and ethical leadership is key to our long-term success. We have developed strong corporate governance practices to help us manage risks, stay true to our values and promote a culture of integrity. LOGO USAGE

Our Board of Directors and senior management team work together to guide, develop and drive the success of Trex. Every year, senior management presents a multi-year strategic plan with clear goals to the Board. Progress toward these goals is reviewed quarterly by the Board and senior management. Our Board is led by James E. Cline, our non-executive Chair, and is supported by three standing committees. To ensure effective governance, each committee is chaired by an independent director. Our Board provides diverse, independent and experienced oversight to help guide our business. We are dedicated to selecting Board members who offer a range of viewpoints and backgrounds, following our Director Nominations Policy. Apart from Adam Zambanini, our President and CEO, all Board members are independent under applicable legal and stock exchange standards. Audit Committee Oversees matters related to the company’s accounting and auditing as well as compliance with legal and regulatory requirements

Compensation Committee Reviews, determines and approves compensation and benefits of the company’s officers
