Orders: All orders are subject to acceptance by ASICS America Corporation. Please send all orders to 80 Technology Drive, Irvine, California 92618. All initial orders by any new accounts must total $5,000 (may combine accessories, footwear and apparel to reach total) and be approved by the local ASICS Sales Representative. Orders for less than $200 will be charged a $10 service charge. No Cash-in- Advance or COD orders. 2. Terms – Net 30 Days: F.O.B. Byhalia, Mississippi. A service charge of 1% per month (an annual percentage rate of 12%) will be charged on all past due invoices. No discounts will be allowed to any customer having an overdue balance. Deduction from payments for any reason will not be allowed until credit memo is issued. Any such deduction will be shown as payment shortage on account. 3. Prices: All Prices Are Subject To Change Without Notice. Orders will be invoiced at prices prevailing at time of shipments. 4. Shortages: Please inspect all shipments carefully. Verify the total number of cartons and check the exterior of cartons for damage. All claims for lost or damaged shipments must be made directly to delivering carrier. Discovery of shortage due to packing errors must be reported in writing within 10 days of receipt. Adjustments can be made only if reported within that time. 5. Return Policy and Claims: ASICS reserves the right to approve authentic returns due to manufacturing defects, late shipment or other legitimate reasons. All returns must be authorized in advance by ASICS America Corporation. In order to return goods, all accounts must request authorization to return merchandise to ASICS within 30 days of the invoice date. If such request is approved, ASICS will send preprinted authorization shipping stickers which must be affixed to the package of goods returned. All return authorization stickers have a 30 day expiration date. If merchandise is returned without the return sticker and/or past expiration date, it will be refused. ASICS reserves the right to charge a 15% restocking fee for all returns of non-defective merchandise. “Collect” shipments of returned merchandise will not be allowed, and freight must be prepaid by the dealer. 6. Cancellation of Order: Cancellation of order must be in writing and received by ASICS America Corporation, Irvine, California, 15 days prior to shipping date for regular orders and received 35 days prior to requested shipping date for E.O.B. orders. 7. Adjustments to E.O.B. Orders: An E.O.B. order is an order which requests delivery 150 days or more after the order is received at ASICS America Corporation, Irvine, California. Any adjustment decreasing an E.O.B. order by more than 10% will cause the E.O.B. discount to be cancelled. For further information, please contact your ASICS Sales Representative. 8.
