Executive Summary – Board Organization President’s Annual Assessment Follow-up

In July the board reviewed the performance of the president, as trustees are required to do annually by CWUP 1-10-050. Staff have summarized the board’s evaluation and the activities trustees would like the president to prioritize during the 2018-2019 academic year. With the review and approval of the board, the letter will be delivered to the president and shared with the general campus community. Board Meetings: Statute requires the board to meet twice per year; policy requires the board to meet quarterly (CWUP 1-10-030), including a retreat, which policy specifies must occur in the summer (CWUP 1-10-040). The summer retreat has been tradition for the trustees, but has at times conflicted with the schedules of trustees and staff, and has presented challenges finding retreat space, which also is more costly in the summer than at other times of the year. During the summer, most students and faculty are not regularly engaged in university activities. The number and timing of retreats of trustees varies by public institutions. For example, the board of Western Washington University conducts two retreats per year, one in the fall and one in the spring, with board elections every other year in the spring. Eastern Washington University trustees and WSU meet in a retreat annually, but the time of the retreat is not articulated in bylaws. • Recommendation: Revise CWUP 1-10-040 to remove references to a retreat in the summer, to provide greater flexibility, transparency, and efficiency. CWUP 1-10-040 Officers The board shall elect a chair and vice chair each year at the summer retreat to take office on September 1annually. The chair shall call meetings and preside. In his or her absence, the vice chair shall preside. (See Constitution of the Board of Trustees). Elections: CWU Policy 1-60-070 (Constitution, Board Elections) and 1-10-040 state that the Board of Trustees shall elect the chair and vice chair annually “at the summer retreat.” Removing the references to summer allows the board to conduct a retreat or retreats when timing is most advantageous. As previously noted, other boards of trustees elect officers to two-year terms; the CWU trustees may wish to discuss this or other alternatives for elections. • Recommendation: Remove references to a summer retreat, and retain language requiring annual elections.
