WORK PRODUCT Employees shall promptly report to SEKO any and all work product, discoveries, inventions, improvements or ideas of any nature relating to SEKO’s business which have been created, conceived of or developed during the course of employment with SEKO (“Work Product”). This obligation does not apply to work product which was developed entirely on your own time and for which no time, equipment, supplies, facilities or trade secret information of SEKO was used unless (i) the work product relates to SEKO’s business or SEKO’s actual or anticipated research and development; or (ii) the work product results from any work that you perform for SEKO. Except as expressly provided herein, all employee work product, copyrights, patent rights, trademarks and other similar and related proprietary rights which you might acquire in such work product – which are in any way related to SEKO’s business – shall be the sole and exclusive property of SEKO.

Employees hereby agree to and do hereby assign and transfer to SEKO all right, title and interest in and to all such work product, copyrights, patents, trademarks and other proprietary rights that employee may have previously created, conceived of or developed during employment with SEKO and that you might create or develop during your continued employment with SEKO. Any threatened or actual improper disclosure of SEKO’s confidential information would materially affect the success of our business and good will, and would be a material breach of your employment with SEKO. Therefore, any violation of this policy will result in immediate termination. In addition to termination of employment, SEKO will be entitled to temporary or permanent injunctions to prevent any further breach, in addition to all other remedies that might be available to SEKO.
