Private-equity firm Clayton Dubilier & Rice ac- quired and combined Fort Dearborn , Elk Grove, Illinois, and Multi-Color Corporation , Batavia, Ohio, reportedly creating the world’s largest label solutions company serving customers worldwide. CD&R is acquiring Fort Dearborn and MCC from global private equity investors Advent International and Platinum Equity, respectively. The deal valued the combined company at around $6 billion includ- ing debt. Xaar completed the acquisition of print systems and printbar company FFEI Limited. Based in Hemel Hempstead, UK, CEO Andy Cook and CFO Julian Payne remained in their current roles and report to Xaar’s CEO John Mills. Esko formed a new partnership with B eswick Machinery Ltd to distribute its range of AVT solu- tions across southern Africa. Under the new agree- ment, Beswick distributes Esko AVT hardware such as the Apollo, Jupiter, Argus, Titan and Helios auto- mated inline inspection units, as well as a range of innovative packaging and label workflow software.

Multi-Color Corporation (MCC) and Hexagon Holdings signed a binding sale and purchase agreement whereby MCC will acquire 100 percent of the shares in Hexagon. The acquisition includes Hexagon subsidiaries Hally Labels AU, Label Part- ners AU, Adhesif Labels NZ, Hally Labels NZ, Kiwi Labels NZ & Rapid Labels NZ. The deal was report- ed to be worth A$381 million, and included eight production facilities with around 500 employees. ProAmpac , a flexible packaging and material sci- ence company based in Cincinnati, Ohio, acquired Ultimate Packaging , a company producing flex- ographic and digitally-printed flexible packaging based in the United Kingdom. Ultimate Packaging is reportedly one of the largest independent flexi- ble packaging manufacturers in the U.K., specializ- ing in the development of packaging solutions to increase product shelf life, convenience and recy- clability across a range of product sectors. Tekni-Plex signed a definitive agreement to ac- quire rigid packaging company Grupo Phoenix . It was the 15th acquisition in the past five years for the Wayne, Pennsylvania-based company. Fedrigoni SpA , a global company in the pro- duction of special papers for packaging, publish- ing and graphics, as well as premium labels and

Both of the acquired companies specialize in manufactur- ing flexible rollstock and pre-made pouches used in cleanroom environments. C-P is a longstanding portfolio company of First Atlantic Capital, a New York based private equity firm. Terms of the trans- action were not disclosed. Resource Label Group , a full-service provid- er of pressure sensitive label, shrink sleeve and RFID/NFC technology for the packaging industry, acquired Milpitas, California-based Teklabel and Printing, Inc. , which represents the 20th acquisi- tion for Resource Label. Nosco, Inc. , a subsidiary of Holden Industries, Inc., began carton and label production at its new 175,000-square-foot Packaging Innovation Center in Pleasant Prairie, Wisconsin.

All4Labels signed an agreement making Etichet- tificio Dany , an Italian pressure sensitive label supplier, part of All4Labels. While Etichettificio Dany became a fully owned subsidiary of All4La- bels, Marco Olivieri, who founded and developed the business over decades, became shareholder of All4Labels and part of the management team. ProAmpac acquired APC Paper Group, a produc- er of recycled paper packaging products for food service and retail markets. Terms of the transac- tion were not disclosed. APC Paper specializes in the production of 100 percent recycled kraft paper products. The company primarily serves food ser- vice packaging, consumer products, e-commerce, industrial and home improvement markets. Inovar Packaging Group completed its acquisi- tion of Precision Label, Inc. in Oceanside, Califor- nia, in partnership with the existing Precision Label management team. This was Inovar’s sixth platform company and adds to its existing manufacturing footprint in Dallas, Texas; Boston, Massachusetts; Ft. Lauderdale, Florida; Milwaukee, Wisconsin; and Kansas City, Kansas. Founded in 1998, Precision Label serves the personal care, food and beverage and nutrition sectors. Avery Dennison Corporation completed the ac- quisition of Vestcom , Little Rock, Arkansas, for the purchase price of $1.45 billion. Vestcom is now an Avery Dennison company. Vestcom is a provider of pricing and branded labeling solutions at the shelf- edge for retailers and consumer packaged goods companies. It uses data management capabilities to synthesize and streamline store-level data and deliver item-specific, price-integrated messaging at the shopper’s point of decision. Harvest Partners announced that funds managed by Harvest, along with management, acquired Fortis Solutions Group , Virginia Beach, Virginia, a provider of specialty packaging solutions, from Main Post Partners. The company’s management team, led by founder and CEO John Wynne, contin- ue to lead Fortis and remain significant owners of the business alongside Harvest. Asteria Group , a global labels and packaging group, acquired CS Labels , Wolverhampton, United Kingdom. CS Labels consists of companies situated all over Europe including its head office in Belgium, Netherlands, Germany, France, Denmark, Spain, Es- tonia and Finland. BillerudKorsnäs To Acquire Verso

BillerudKorsnäs has entered into a merger agree- ment with Verso Corporation under which Biller- udKorsnäs has agreed to acquire Verso, a producer of coated papers in North America, for a purchase price of approximately $825 million in cash. Verso’s Board of Directors, acting upon the recommenda- tion of a special committee, has unanimously ap- proved, and resolved to recommend the transaction to Verso’s shareholders. The transaction is expected to close in the second quarter of 2022. Verso reported net sales for the last 12 months ended 30 September 2021 of $1,264 million and adjusted EBITDA of $158 million. The acquisition and transformation will be fi- nanced through a combination of a rights issue of up to SEK 3.5 billion, additional debt and operating cash flow. The plan is to convert Verso’s largest facility, its Escanaba mill, into a sustainable, fully integrated paperboard production site. One machine is esti- mated to be converted by 2025, a second machine by 2029, to a total capacity of around 1,100 ktonnes. BillerudKorsnäs estimates that the investment for the conversion project will be up to SEK 9 billion, whereof around two thirds to be invested up to 2025 and the remainder up to 2029. The increased net capacity of around 400 ktonnes compared to today together with a more profitable product mix will create significant shareholder value over time. Stora Enso has been awarded Best Circular Solu- tion, one of three sustainability awards presented by Tetra Pak to its suppliers. The award recogniz- es the circularity performance of Stora Enso and its significant achievements in beverage carton recycling innovation. Earlier this year, Stora Enso and Tetra Pak announced their collaboration in a packaging circularity initiative that will triple the used beverage carton (UBC) recycling capacity in Poland, including the country’s entire UBC volume and overflow from neighboring countries. Tetra Pak launched its “Join Us in Protecting the Planet” supplier sustainability initiative in 2020 to catalyze its suppliers’ climate, biodiversity and cir- cularity progress, and to promote the need for col- laborative actions toward realizing the company’s 2030 goal – net zero greenhouse gas emissions in its own operations. GenCorr Packaging was established by Tom Beemsterboer in April of 2017 with Vince Baratta joining as a partner in July of 2017. Both continue in their current roles under the new ownership. Hybrid Software Group acquired the entire is- sued share capital of ColorLogic GmbH, a company with its registered office in Rheine, Germany. ColorLogic was founded in 2002 and has devel- oped an extensive portfolio of color profiling and conversion software, recently winning the 2021 Pinnacle Product Award from the Printing United. Its products are sold worldwide to both end users with requirements for color quality, as well as to Original Equipment Manufacturers (OEMs) of print- ing equipment. AICC, The Independent Packaging Association, has partnered with OTB Solutions, to bring ac- tionable insights to member companies about why their customers buy from them, which customers are getting ready to defect, and much more. Each company has ideas and anecdotal evidence about its customers. But, fact-based evidence about why customers buy and why they give the share of wallet they do to each company is invaluable infor- mation that will help a company grow.
