Simon Wallwork Partner & Head of Corporate Commercial Simon Wallwork is a corporate partner based in Manchester and Head of our Corporate and Commercial team. With over 28 years’ experience advising on acquisitions, disposals, fundraising, private equity and public market transactions, for a wide variety of clients including public and private companies, banks, venture capital funds and partnerships, Simon also has considerable client side experience spending a number of years working in-house with Pilkington plc. In addition to general corporate work, Simon specialises in the Technology and Life Sciences sectors. He has built up expertise in these sectors developing a deep understanding of their drivers. Simon was ranked the most active corporate lawyer in the North West in the Corpfin Deals Review 2015 produced by Experian, with 18 deals completed in that year. Simon is recognised as a leading individual in both the Legal 500 law directory and the Chambers Guide. Katharine Mellor Partner Katharine Mellor is a corporate partner based at our Sale Commercial Office. She is a former corporate partner in DWF LLP who joined Slater Heelis in 2013. Katharine’s client service offering in the healthcare, education and professional services sectors enhances the firm’s expertise in corporate and commercial matters. With over 40 years’ experience of mergers and acquisitions, reorganisations, partnerships and LLPs, and charities, Katharine was the former senior and managing partner at Elliotts in Manchester who ultimately merged with DWF in 2007. Katharine was the first female President of the Manchester Law Society and has held non-executive director positions on the National Blood Authority and South Manchester University Hospitals NHS Foundation Trust. She is currently a member of the Association of Partnership Practitioners and a trustee of the Brockbank Foundation. Katharine is recognised as a leading individual in the Legal 500 law directory.

Nicky Collins

Partner Nicky is a corporate and commercial partner and joined Slater Heelis in 2016. She has over 20 years’ experience advising clients on their acquisitions, disposals and restructures as well as their banking facilities and re-finances and commercial contracts. In addition to general corporate and commercial work, Nicky has a keen interest in the health and education sectors and, in particular, advises numerous GP Federations which are emerging around the country in response to the ever-increasing pressures in the health sector. Nicky is a trustee and director of the Alder Hey Children’s Charity and a member of its Spending Committee and director of its trading subsidiary. She has also recently taken on Non-Executive position on the Board of PRASIS, which is a specialist indemnity scheme established for plastic surgeons. Nicky is described in the Legal 500 in connection with her work with healthcare clients as being “exceptional in providing the benefit of her wisdom and expert knowledge in a non-patronising and readily understandable manner”.

Rhian Owen Partner

Rhian Owen joined as an associate in the Corporate team in October 2014. Rhian undertakes a wide range of corporate work and has particular experience advising on acquisitions and disposals, private equity transactions, company reorganisations and joint ventures for a wide variety of clients. In addition, Rhian, a medical science graduate, has a strong focus on the life sciences sector and has advised numerous biotech start-ups from early stage spinout (whether that be from academia or pharma), to funding rounds, R&D, commercialisation and exit.

Jim Tully Partner

Jim joined Slater Heelis in April 2019 and is a corporate partner based in Manchester. With over 25 years’ experience, Jim has broad corporate, transactional and commercial experience which he employs to make a difference to the full range of businesses, focusing in particular on family owned business, entrepreneurs, OMBs and management teams Jim joined the firm from the Co-op. Having acted for the group during the 2008/9 £1.6 billion acquisition of Somerfield, Jim became AG’s Co-op client partner and he was then seconded over during the Co-op’s troubles in early 2014. Jim joined the Co-op as Director of Legal and General Counsel Retail from 1st January 2015. In his five years there, Jim was heavily involved in the rescue of the now independent Co-operative Bank, the complete rewrite of the Co-op’s governance structure, the expansion of its wholesale business and setting up its new franchise business, and successful mediations and litigation in the Court of Appeal and the Supreme Court. He was both principal and also the main lawyer on numerous transactions – including the £143m acquisition of Nisa from its 1190 members, the £620m sale of its pharmacy business, the £249m sale of its farms business, and many smaller acquisitions and disposals. Jim also had a commercial role as a member of the executive leadership team for the £10bn Food business that (uniquely, save for the discounters, in a very competitive and changing market) delivered 5 years’ continuous like for like profitable growth. Prior to his time with the Co-op, Jim spent 15 years at Addleshaw Goddard where he led hundreds of transactions, acting mainly for private equity houses, entrepreneurs, management teams and family-owned and owner managed businesses. He led the team which built a market-leading private equity practice in the North West, which came to act for 9 out of 10 of the private equity houses then in the market.

Richard Riley Associate Solicitor Richard joined Slater Heelis in 2011.

He is experienced in commercial matters including drafting and review standard terms and conditions, legal issues relating to online businesses, infringement and protection of intellectual property rights, software development agreements, and franchise agreements and has experience of dealing with the Information Commissioners Office in respect of Data Protection Act and Freedom of Information Act issues. He advises on corporate matters including business sales and purchases, mergers and acquisitions, disposals, management buyouts and group reorganisations. He also advises clients on corporate governance matters including issues including drafting and advising on Articles of Association and Shareholders Agreements. Richard has acted for a number of schools converting to Academies and Multi-Academies and has advised existing Academy trusts in respect of their sponsorship of additional schools and the opening of free schools.

Janet Robinson Associate Solicitor

Janet Robinson joined as an associate in the Corporate team in August 2015. Janet advises on a broad range of corporate matters including acquisitions, disposals, private equity investments, reorganisations and joint ventures/ shareholders’ agreements. She acts for a wide variety of clients and is experienced in advising parties from the various sides of a transaction, whether that be sellers, buyers, management teams, private investors, venture capitalists or banks.

Eleanor Pallot Solicitor

E leanor joined the firm as a paralegal in the corporate team in October 2017. She assists on a wide range of corporate matters, in particular supporting with the drafting of the documentation required for acquisitions, disposals, private equity transactions, company reorganisations and joint ventures for a varied range of clients. She completed the LLB and the PG Dip Legal practice at the University of Plymouth and qualified as a solicitor with a firm in Plymouth in its corporate/ commercial department in 2011. Eleanor went on to work at a niche law firm in Exeter, working as an assistant solicitor carrying out corporate transactions, in particular assisting with the documentation for private equity transactions. Prior to joining Slater Heelis, Eleanor worked as a solicitor for Hugh James Solicitors in Cardiff and was seconded during her time there to Natural England, a non-departmental governing body dealing with nature conservation.

William Brownlee Solicitor Will is a solicitor in the Corporate Commercial team and is based at our Manchester office. Will moved to Manchester after completing a law degree at the University of Dundee. He worked as a paralegal in an international law firm before joining a boutique business law firm in March 2016 where he worked as a corporate paralegal. He commenced his training contract in September 2017, and undertook seats in dispute resolution, commercial property, and insolvency. Will undertook the LPC whilst completing his training contract, and subsequently completed an LLM master’s degree on the GDPR. He qualified in March 2019 before joining the legal team at Slater Heelis in April 2019. Outside of work, Will enjoys travelling, playing squash, and running. He has also been elected as Ball Director for the Manchester Trainee Solicitors Group for 2018/19. Mark Warburton Trainee Solicitor Mark joined Slater Heelis in August 2015 and up until commencing his training contract worked as a paralegal in the property team. Prior to joining, he graduated from Lancaster University with a degree in Politics & International Relations and has now completed his GDL at Manchester Law School (MMU). Mark is now studying his LPC on a part-time basis and undertaking his training contract at the same time. Outside of work, Mark enjoys travelling, cycling and golf. He has also been elected as treasurer for the Manchester Trainee Solicitors Group for 2018/19.
