Closing Conditions The acquisitions and merger are subject to custom- ary closing conditions and are expected to be com- pleted by the end of 2021. Advent acquired Fort Dearborn in 2016 from Denver, Colorado-based KRG Capital Partners. Platinum took Multi-Color private in 2019 in a deal valued at $2.5 billion including debt and merged it with a subsidiary of its portfolio companyWS Packaging Group, another label maker. The deal values the combined company at around $6 billion including debt. Terms of the transaction were not disclosed. “We see strong strategic logic and promising value creation potential in bringing these two leading la- bel manufacturers together,” said Nate Sleeper, CD&R Chief Executive Officer. Combining Assets The combination of Fort Dearborn and MCC will create a diversified platform across label technologies, end categories, geographies and customers. It will serve a diverse mix of customers active in a number of end categories, including wine and spirits, food and beverage, beer, and home and personal care.The com- bined company is expected to generate approximately $3 billion of annual revenue. Obituary James Feeney, the first president of Windmöller & Hölscher’s North American operations, passed away on July 2 at the age of 85.
It was reportedly due to Feeney’s foresight and belief in the poten- tial of W&H Corp. in the U.S. market that German management agreed to open a sales and service subsidiary in Rhode Island in 1977. Jim was the un- disputed choice to become the first president of W&H’s North American operations. Feeney served on the boards of the industry’s major trade associations,

including as president of the Flexible Packaging Asso- ciation (FPA) and chairman of the Packaging Machin- ery Manufacturers Institute (PMMI). In addition, the Flexographic Technical Association (FTA) honored him with the President’s Award in 1999 and later inducted him into the FLEXO Hall of Fame.

All of the company’s forests had achieved forest man- agement certification and it maintained Forest Stew- ardship Council (FSC) certification for all of its sites, meeting the highest sustainable forestry standards on the market.

Be Packaging is currently focused on label printing productions for the Italian market, but the new press will help expand its reach.The company is building a foreign sales network,working with clients in NorthAf- rica, France, Switzerland, Germany, Poland and Greece. Its products include self-adhesive labels, warranty seals, resealable multi-layer labels, IML labels, wet-glue labels, shrink sleeves and aluminum caps. Nosco Begins Carton, Label Production At New Facility Nosco, Inc., a subsidiary of Holden Industries, Inc., has begun carton and label production at its new 175,000-square-foot Packaging Innovation Center in Pleasant Prairie,Wisconsin. The facility will provide redundant product capabil- ities that will expand Nosco’s efforts into a new era of printed packaging with continued focus on quality, innovation and growth for the healthcare industry. As previously announced in November of 2020, Nosco’s Packaging Innovation Center and headquar- ters building will consolidate much of the company’s northern Illinois workforce. The new Packaging Innovation Center in Pleasant Prairie,Wisconsin will be home to nearly 300 of Nos- co’s 700+ employee owners. All other staff will oper- ate out of Nosco’s existing facilities in Illinois, Texas, NewYork and Pennsylvania. Nosco’s quality system will remain in place across all facilities, including Pleasant Prairie. To assist with au- dits and tours, and provide a unique customer viewing experience, Nosco’s Packaging Innovation Center will feature an observatory bridge overlooking all produc- tion activities. Nosco’s CAD and Solutions Engineering teams will continue to enhance customer packaging with sus- tainable material options, substrate and ink recom- mendations, structural design expertise and more. To promote new product development and team collab- oration, both teams will now work together with cus- tomers out of the facility’s fully-integrated Customer Innovation Hub, alongside MakerSpace. Audits of the new facility will begin in late July, and the full grand opening is slated for Fall of 2021. Xaar Completes Acquisition Of FFEI Xaar has completed the acquisition of print systems and printbar company FFEI Limited. Based in Hemel Hempstead, UK, CEOAndy Cook and CFO Julian Payne will remain in their current roles and report to Xaar’s CEO John Mills. BobWilson, FFEI’s CTO,will join Xaar in a senior position within the prin- thead business,where he will focus on delivering tech- nologies for the company’s UDI customers. FFEI employs more than 60 people and in the year to March 31, 2021 generated revenue of £9.9 million. The initial cash consideration of £3.7 million was paid on completion, which reflects existing FFEI free cash reserves, with an additional £5.4 million deferred con- sideration to be paid out over three years.
