Acquisitions Drive Flexo Industry In 2017 by Greg Kishbaugh T he past few years have seen a tremendous uptick in the number of acquisitions and mergers in the flexographic in- dustry and 2017 was certainly no exception. Consolidations con- tinued at a furious pace for both converters and OEMs alike, reshaping the industry and making way for many more acquisi- tions in the future.

Mark Andy, DuPont Fortify Partnership Supporting Mark Andy’s long-lasting commitment to label and packaging customers, Mark Andy, Inc. has been appointed the exclusive distributor of DuPont Cyrel flexographic platemak- ing systems in the United States. Mark Andy Print Products, the sup- plies and consumables division of Mark Andy, first entered into business with DuPont in early 2014, serving as a distributor for the Cyrel product line including plate material, process- ing equipment, imagers and software. A notable benefit of this new exclu- sive relationship is the ability to bet- ter serve flexography customers by developing plate systems to improve print quality and minimize downtime for optimizing converters’ operations. Distribution Deal Mark Andy will also assume distribu- tion of the full suite of flexographic pressroom supplies previously sold with the DuPont Cyrel product line, in- cluding plate mounting tapes, plate imaging equipment, letterpress plates, and other supplies, complementing the

Steven Label Corporation Acquires Robinson Printing Steven Label Corporation has acquired Robinson Printing, Inc. of Temecula, California. Founded in 1924, Robinson Printing specializes in producing the product instructions-for-use (IFUs) and folding car- tons that accompany medical devices, pharmaceuti- cals and other complex products. Terms of the transaction have not been disclosed. The acquisition of Robinson Printing is Steven Label’s second acquisition. Steven Label previously acquired Gold Coast Graphics of Corona, California, expanding Steven Label’s presence in the consumer products industry, with a particular emphasis on wine labels. With the addition of Robinson Printing, Steven Label now employs approximately 180 em- ployees and has five manufacturing locations, in Santa Fe Springs, California; Temecula, California; and Tijuana, Mexico. Sustainable Packaging Becoming Essential With the majority of global consumers already recy- cling, demand for environmentally-friendly packaging will increase further in response to heightened public- ity around plastics ending up in the ocean, according to GlobalData, a leading data and analytics company. According to GlobalData’s third-quarter 2016 global consumer survey, 65 percent of consumers globally always or mostly recycle product packaging and 53 percent always or mostly avoid excessively packaged grocery products. “Consumers are highly sensitive to the environmen- tal implications of packaging formats,” said Peter Hays, Consumer Analyst at GlobalData.“While the im- plications of product formulation have long been a focus of consumers, it is becoming clear that the packaging waste produced by everyday purchases also has a detrimental effect on the environment.” Exhibit Sales Now Open For ICE USA 2019 ICE USA, the International Converting Exhibition, has opened exhibit space sales for the next show scheduled for April 9-11, 2019 in Louisville, Kentucky. Fort Dearborn Acquires NCL Graphic Specialties

Fort Dearborn Company, Elk Grove Village, Illinois, has signed a definitive agreement to acquire NCL Graphic Specialties, Inc., Waukesha, Wisconsin. The transaction is subject to the fulfillment of certain conditions and is expected to close by the end of the year. Fort Dearborn supplies a complete range of label solutions including cut & stack, pressure sensitive, roll-fed, shrink and stretch sleeve labels, and equip- ment across multiple printing technologies including digital, lithographic, flexographic, and rotogravure. The company will now have additional facilities in Waukesha,Wisconsin, and Menomonee Falls,Wiscon- sin, for a total of seventeen production locations across North America. The company’s product offering will be expanded to include additional cut & stack label capacity, pro- motional printing and packaging services, and flexi- ble packaging. TLMI Committees To Set 2018 Agendas TLMI converter and supplier members will con- vene at the association’s annual January Committee Summit held January 22-23 at the Hyatt Regency DFW Hotel in Dallas,Texas. The Summit is focused on six of TLMI’s committees, and all of these committees’ members are invited to attend. The Board’s objective in inviting multiple committees to attend is to further cultivate coopera- tion and idea sharing between groups, and to pro- mote collaborative discussions and goals relevant to multiple committees. Graphic Packaging Acquires Seydaco Packaging Corp. Graphic Packaging Holding Company,Atlanta, Geor- gia, will acquire the assets of Seydaco Packaging Corp. and its affiliates National Carton and Coating Co., and Groupe Ecco Boites Pliantes Ltée. Seydaco is a Canadian folding carton producer fo- cused on the foodservice, food, personal care, and household goods markets. Seydaco converts approxi- mately 20,000 tons of paperboard annually and oper- ates three converting plants located in Mississauga, Ontario, St.-Hyacinthe, Québec, and Xenia, Ohio.

Mark Andy Hosts Digital One Demonstrations In Mexico Mark Andy hosted live demonstrations of its Digital One press in Mexico early December, with events in Guadalajara and Monterrey. Converters in Mexico are seeing increased de- mands for short run work and shorter lead times. End users adopting “Just-in-Time” (JIT) inventory strate- gies have forced today’s label providers to increase efficiency and decrease waste; digital hybrid tech- nologies offer a logical path to agility within this dy- namic and ever evolving market. As a result, many label converters are looking to add digital hybrid ca- pability to their pressrooms. More than 65 converters and printers were able to view live demonstrations of the press and ask specif- ic technical questions. Much like a traditional demo, the roadshows provided attendees the opportunity to get hands on with the technology. Digital One is an entry-level digital label press that utilizes CMYK dry-toner technology combined with a flexo print station for decoration and inline die-cutting. Color Digital, Etiprint, and Matecmex Label made the decision to purchase Digital One during the events.

H.B. Fuller Acquires Royal Adhesives & Sealants H.B. Fuller has finalized its acquisition of Royal Ad- hesives & Sealants for $1.575 billion. Royal is expect- ed to generate approximately $650 million in revenue and $138 million in adjusted EBITDA for H.B. Fuller’s fiscal year 2017. The company operates 19 manufacturing facilities in 5 countries, and employs approximately 1,500 people globally. BST ProControl Integrated With BST Eltromat Effective retroactively as of January 1, 2017, BST ProControl is now fully integrated into the business processes of BST eltromat International and will con- tinue to operate as an incorporated, independent business unit at its current location in Wenden, Ger- many. BST eltromat has thus taken the final step in merging the two companies.The name ‘BST ProCon- trol’ will be kept for the business unit. In 2013, BST eltromat founded BST ProControl GmbH as a 100 percent subsidiary through the acquisition of the companies Betacontrol and Protagon.

The acquisition of Plymouth will further integrate the company’s containerboard system.WestRock currently provides one-third of the nearly 60,000 tons of con- tainerboard used by Plymouth annually, and intends to fully integrate these tons after the transaction closes. Plymouth was founded in 1991 by Paul Magnell and is currently owned by the Magnell family. Greg Mag- nell is currently the President of the company and will continue in his leadership role following the closing of the transaction. The transaction includes Plymouth’s fanfold corru- gated facilities in Battle Creek, Michigan; Ft. Crown Holdings To Buy Signode In $3.91 Billion Deal Packaging company Crown Holdings Inc. will buy Signode Industrial Group Holdings Ltd. from Carlyle Group LP in a deal valued at $3.91 billion. Glenview, Illinois-based Signode, which had pro- forma sales of $2.3 billion in the year ended Novem- ber 30, makes strap, stretch and protective packaging used in shipment of goods. Kroger Joins Sustainable Packaging Coalition Grocery retailer Kroger Co., headquartered in Cincinnati, has joined the Sustainable Packaging Coalition (SPC), Charlottesville, Virginia. The SPC is a membership-based collaborative striving to advance sustainable packaging. Kroger joins more than 130 brands, manufacturers, government officials, acade- mics and organizations in the SPC. The SPC is a project of nonprofit GreenBlue. The coalition says it uses an objective life cycle-based ap- proach to provide thought leadership and bring its members together to strengthen and advance the business case for more sustainable packaging. Kroger says it has committed to driving improve-

ments in the sustainability of packaging across its Our Brands private-label products.As part of its 2020 Sustainability Goals, Kroger has committed to opti- mizing 100 percent of its product packaging by in- creasing recyclability, reducing excess packaging and increasing certified virgin fiber sourcing, among other things, during the next three years. “Our membership in this coalition is an important part of Kroger’s vision for achieving Zero Hunger | Zero Waste, a key component of how we are living our purpose driven by our Restock Kroger Plan,” said Jessica Adelman, Kroger’s Group Vice President of Corporate Affairs. MacDermid Appoints Kanan Graphics As Indian Distributor MacDermid has appointed Mumbai-based Kanan Graphics as its distributor for the Western region of India.The deal was inked and the announcement was made on Day Two of Pamex. Kanan Graphics will work alongside Macdermid’s technical service team to supply and distribute Macdermid’s flexo plate range. Besides Kanan, MacDermid has two other distribu- tors namely, Indo Pacific for South region and Supreme Marketing for North region.

Novolex To Acquire Shields Bag and Printing Company Novolex, a portfolio company of The Carlyle Group, has agreed to acquire certain assets and business op- erations of Shields Bag and Printing Co., a manufac- turer of custom engineered f lexible packaging products located in Yakima,Washington.Terms of the transaction have not been disclosed. Shields Bag and Printing Company was founded in 1935. The Shields family expanded their founder’s commercial printing business into flexible packaging in the 1960s. Shields’ core focus is providing custom engineered products to a diverse group of customers across a range of end-market segments, including building and construction, food and consumer, bank- ing and security, lawn and garden, chemicals and en- ergy, and general industrial. The acquisition of the Shields’ assets and business is Novolex’s seventh acquisition since 2012. SGP Hosts Community Day To Drive Sustainable Printing The Sustainable Green Printing Partnership held its SGP Community Day on November 14 in Portland, Oregon.The event brought together print profession- als, brands and sustainability champions for conversa- tions on growing strategic programs and partnerships. The conference included presentations and discussions on procurement, circular economy and sustainability practices from leading companies. Jeremy Carroll, Co-Founder of Latitude, a brand and experience design firm, spoke to the group about his organization and its impact on their customers, sup- ply chain and the world. Pam Johnson, State Procurement Analyst for the State of Oregon, discussed green procurement on the state and federal level and provided insights on creat- ing a dialogue with procurement officials. Nicole Bassett, Co-Founder of The Renewal Work- shop, presented the story of her company and how the textile industry can become circular. Kim Holmes, VP of The Plastics Industry, discussed the “second life” of plastics and a new initiative which will focus on identifying the technical and economic feasibility of recovering plastics from dif- ferent industry sectors.
