Headquartered in Cookeville, Tennessee, we operate a network of facilities and service centers across the United States, supported by thousands of associates dedicated to delivering reliable service and long-term customer relationships. Founded in 1958 by Thurman Averitt and acquired by Gary Sasser in 1971, Averitt has grown into one of the nation’s most awarded freight transportation and logistics providers.

Our business is organized into five interconnected service units. MEASURING OUR PROGRESS

SASB REPORT The Sustainability Accounting Standards Board (SASB) provides a widely recognized framework for companies to report on industry-specific sustainability-related risks and opportunities. Averitt applies the Road Transportation standard accounting. The standards were developed using a thorough and transparent process that included evidence-based research; broad and balanced participation from companies, investors, and subject matter experts; and oversight and approval from the independent SASB.

ABOUT SASB Global investors recognize SASB Standards as essential requirements for companies seeking to make consistent and comparable sustainability disclosures. SASB Standards identify the sustainability-related issues most relevant to investor decision-making in 77 industries. As of August 2022, the International Sustainability Standards Board (ISSB) of the IFRS Foundation assumed responsibility for the SASB Standards. The ISSB has committed to maintain, enhance, and evolve the SASB Standards and encourages preparers and investors to continue to use the SASB Standards.

The SASB framework remains the primary reporting standard for sector-specific disclosures. This report covers all of Averitt’s assets, full- and part-time associates, and operations under Averitt’s control. GOVERNANCE Averitt is a privately held company guided by a dedicated Executive Team that ensures the organization remains aligned with its core values and strategic objectives. Led by our CEO and COO, this team is committed to upholding the highest standards of leadership, ethics, and operational excellence. The Executive Team provides oversight for critical areas of the business – from financial stewardship and long-term planning to safety, associate well-being, and environmental responsibility. Their role is not only to drive performance but also to ensure Averitt’s culture and values remain strong as we grow.

Gary Sasser has been leading Averitt since he acquired the company in 1971. Under his leadership, Averitt has grown into a leading freight transportation and logistics provider.

Barry Blakely President and COO

Barry Blakely joined Averitt in 1986, starting with the sales team in Atlanta. He quickly moved up to become the Service Center Director in Birmingham, later serving in regional leadership roles

and as Vice President of Operations. All governance responsibilities fall under his guidance and oversight.

Kent Williams Executive Vice President, Sales & Marketing

Kent Williams began his Averitt career in 1987 when he joined our Cookeville sales team. Kent currently drives our sales and marketing efforts, focusing on expanding our customer reach and building strong customer relationships.

Johnny Fields Executive Vice President and CFO

A part of Averitt since 1996, Johnny Fields was promoted to his current position in 2018. Johnny is responsible for managing the company’s financial strategies, ensuring fiscal health, and guiding long-term financial planning to support Averitt’s continued growth and success.

Manage Performance Improvement: Averitt leadership manages policies, reviews, teams, trainings, metrics, and more to ensure that it continuously maintains top performance on social, labor, and environmental topics while setting and achieving new annual goals for improvements. Collect, Track, and Evaluate Material Metrics: We collect, track, evaluate, and adjust based on annual social, labor, and environmental metrics that are most material to Averitt and road transportation, using and reporting this data to achieve goals and maintain continuous improvement. Engage Partners for Performance Improvement: Averitt surveys and engages top suppliers on their social, labor, and environmental standards. We also partner with vendors and customers on developing, piloting, and deploying more sustainable solutions. Public Disclosure and Partner Communications: We are committed to transparency by publicly disclosing our management approach and results, adhering to global standards such as SASB, GRI, and GHG Protocol. We also prepare customer- and vendor-specific communications to improve sustainability of transportation.

CSR STEERING COMMITTEE The Executive Team delegates day-to-day responsibility for managing social and environmental impacts of the company to a CSR Steering Committee , which reports directly to President and COO Barry Blakely. This cross-functional group is composed of top-level leaders from throughout the company: Procurement, Operations, Human Resources, Finance, Marketing and Communications, Safety and Compliance, IT, and Corporate Services. The committee was formed to embed sustainable and responsible business practices even more deeply into our operations. The CSR Steering Committee meets at least twice annually to review results and make decisions on continuous improvement.

This Materiality chart provides a visual representation of Averitt’s priorities and strategic focus. Averitt conducted a comprehensive double Materiality Assessment according to GRI and SASB standards to identify material topics for road transportation. Our Materiality Assessment included stakeholder feedback and data from associates, customers, suppliers, communities, and regulators. It was finalized by the CSR Steering Committee and approved by Executive Leadership in June 2024.

Averitt’s ERM process encompasses assessment across direct operations and upstream and downstream activities across the value chain. Risk and opportunities identification considers multiple time horizons to ensure alignment with business strategies in the short term (0-1 year) and medium term (2-5 years). Averitt’s ERM process includes an enterprise-wide and site-specific evaluation of the following sustainability risks that are material to its business based on our Materiality Assessment. Corruption, Bribery, and Fraud has been recognized as one of the material topics and is integrated in the Enterprise Risk Management Policy. 100% of Averitt’s sites are assessed for Corruption and Bribery risks. The Executive Team periodically receives updates on our risk and sustainability performance, no less than annually. It also oversees the company’s ERM process, which will involve periodic risk assessments covering both ethical and physical risks and the evaluation and management of critical risks and opportunities to the business. During the annual ERM process, we review with members of the CSR Steering Committee and management the potential risks, formally document and assess those risks, and, as needed, put mitigation efforts in place. Averitt executives developed and adopted a policy that integrates social and environmental risk assessment into our Enterprise Risk Management (ERM).

Compensation, Profit Sharing, and Benefits We are dedicated to offering top-tier compensation and conduct annual wage surveys to ensure we remain competitive in the communities we serve. Averitt pays all associates at least 248% above the federal minimum wage in every location we operate – and 100% of our associates earn above local minimum wages. We regularly review and adjust compensation to ensure fairness across roles and to reward the contributions of every associate. We also share our success through a company-wide Profit Sharing program, which allocates 20% of our profits back to associates through their auto-enrolled 401(k)s. This initiative not only rewards teamwork but also reinforces a sense of ownership among associates. We provide a wide range of benefits to our associates, including health insurance, life insurance, disability coverage, bereavement leave, paid time off, 401(k) contributions, Red Thinkin’ Rewards, and other team rewards. Open Communication and Engagement Effective communication is a cornerstone of our leadership approach. Through our Open Door Policy, associates are encouraged to share ideas and feedback directly with leadership. Our Driver Advisory Council, Feedback Channels, and other input forums help ensure transparency and continuous improvement. In 2025, 100% of associates were invited to participate in feedback efforts, and at least 69% engaged in person or virtually. Road drivers, our largest workforce group, participate in monthly calls with our Driver Services Team. Communication channels range from mobile apps and confidential tools like Averitt Open Line to local meetings and one-on-one conversations. Safety, Professionalism, and Training We place a high priority on safety and professionalism, recognizing these are critical to the well-being of our associates and to operational success. We invest heavily in comprehensive safety training to equip associates with the skills they need to perform their duties effectively. Career Planning and Training In 2025, 12.4% of associates advanced through promotions or transfers – a reflection of our ongoing investment in internal development. Every new full-time associate receives orientation and job-specific training, and all associates are regularly coached and supported in growing into new opportunities. All associates have a customized training and development plan, as well as opportunities to participate in Leadership Development programs. It’s why Averitt was recognized with a Career Catalyst Award from the Next Generation in Trucking Association program of the National Transportation Institute. Ethical Standards and Values Guided by a strong ethical foundation, we uphold integrity, respect, and accountability in everything we do. These principles inform daily interactions and strategic decisions alike. By maintaining high standards, we build trust with our associates, customers, and communities – and reinforce our reputation as a responsible and reliable leader in the industry.

We offer robust medical, vision, and dental coverage to ensure that our team has access to necessary healthcare services. In addition, our benefits package includes prescription drug coverage, 24/7 telemedicine services, and a comprehensive Associate Assistance Program offering mental health services, family counseling, and financial wellness support. Our Wellness Program is available to all associates, providing services such as preventive care, chronic condition management, and behavioral health support. Associates can also access hearing care, hearing aids, and nicotine cessation programs to promote overall well-being. To support ongoing health needs, we also offer virtual physical therapy at no cost, ensuring our team can receive care wherever they are. We understand that financial stability is key to overall wellness, which is why we provide benefits like profit sharing, company-paid life and disability insurance, flexible spending accounts, and health savings accounts. These options help associates manage their retirement health and dependent care expenses with ease.

OUR DRIVING CONCERN IS SAFETY

We track safe driving performance using a range of indicators, with a strong focus on both driver quality and equipment standards. Preventable accidents are measured by total incidents per million miles driven, and performance is continually benchmarked against Averitt’s long-standing safety record. Driver logs and motorist reports are also regularly reviewed to support coaching and continuous improvement. New Averitt drivers complete several days of onboarding, covering safe driving techniques, equipment operation, hours-of-service rules, seat belt usage, and accident procedures. We also offer an intensive backing and turning program – a level of hands-on training that sets us apart from most carriers. Ongoing safety training includes OSHA, FMCSA, and other compliance programs, delivered through online formats, in-person sessions locally, and at our Driver Development Centers. To reinforce accountability, Averitt uses a Safety Points System that rewards drivers for training participation and deducts points for incidents. This system makes it easy for drivers to request additional training when needed and helps ensure that safety remains top of mind – every mile, every day.

In addition to driver training, we continuously upgrade our fleet with the latest safety technologies, such as collision-avoidance systems, anti-jackknife systems, forward-facing event recorders, rollover stability systems, lane departure warnings, and more.

But our commitment to safety extends well beyond the drivers and their vehicles. Our “ Think Twice, Think Safe ” program reinforces our commitment to safety by issuing monthly safety-related messages throughout the company. These messages, delivered via internal newsletters, posters, and other communications, cover a range of safety initiatives, ensuring that safety remains top of mind for all associates. Through these and other comprehensive safety measures, we maintain one of the country’s safest fleets, as we continually strive to protect our associates and the communities we serve.

Our Code of Conduct prohibits corruption, bribery, fraud, money laundering, and anti-competitive practices. This code – together with our Conflicts of Interest Policy – is acknowledged by all associates, vendors, and contractors, and reinforced through regular training. We also take steps to ensure our external partnerships align with our values. Through a sustainability survey and by incorporating Averitt’s Code of Conduct and human rights standards into our contracts – including recently executed agreements with major vendors – we work to ensure our supply chain reflects the same environmental and ethical commitments we uphold internally. To further protect our people and resources, our Profit Protection and Fraud Prevention Policy outlines a clear, zero-tolerance approach to fraud, theft, and corruption. Associates and vendors have access to a confidential, 24/7 toll-free hotline for reporting violations, with the possibility of a reward for verified reports. We also support organizations that align with our commitment to protecting people and strengthening communities. Averitt is proud to sponsor Truckers Against Trafficking (TAT), an organization founded on the belief that every truck driver can play a crucial role in the fight against human trafficking. That spirit comes to life most vividly through Averitt Charities – a company-wide effort that represents the very heart of Averitt. From Averitt Cares for Kids to local outreach projects, our associates prove that generosity isn’t a special event – it’s part of how we work, live, and lead. Since 1986, Averitt has contributed more than $18 million to charitable organizations. In 2025 alone, our associates donated $1,400,001 to St. Jude Children’s Research Hospital through Averitt Cares for Kids – a program that funds our nonprofit organization, Averitt Charities, through associate contributions and company matches recognizing our associates’ volunteer service hours and honoring our associates’ achievements, life events, and milestones. We’re also proud to have been named St. Jude’s “Employee-Giving Organization of the Year” four times: 1999, 2010, 2020, and 2024.

As our company continues to grow, so does our responsibility to operate thoughtfully and efficiently. That means continually looking for smarter ways to reduce waste, improve performance, strengthen safety, and make a positive impact across the communities where we live and work. Across our network, that commitment takes many forms – from investments in newer equipment and technologies to programs that support associate wellness, safety, and community involvement. It’s also reflected in our ongoing support of Tennessee State Parks, helping preserve one of our state’s greatest resources for future generations. While the initiatives may vary, the goal remains the same: making meaningful progress in ways that strengthen both our operations and the people who depend on them every day.

Averitt has been at the forefront of sustainable transportation initiatives for decades. In 2004, when the Environmental Protection Agency (EPA) established SmartWay – a program designed to reduce transportation-related emissions and improve supply chain efficiency –

we were proud to be a founding partner. As one of only 52 original members, we committed to meeting specific environmental and energy-saving goals while transparently reporting our progress annually to the EPA. Through our ongoing participation in SmartWay, we have established a systematic approach to reducing emissions and conserving fuel across our operations. Since 2004, Averitt has reduced carbon dioxide equivalent emissions by 37.4% and decreased nitrogen oxide emissions by 65.2% per mile. Our enduring SmartWay partnership demonstrates our steadfast dedication to seeking out and implementing eco-friendly logistics solutions that minimize our environmental impact. IMPROVED FLEET EFFICIENCY Through investments in aerodynamic equipment, automatic tire inflation systems, auxiliary power units, and other fuel-saving technologies, Averitt continues to improve the efficiency of its fleet. These enhancements help reduce fuel consumption, lower emissions, and maximize performance across our network.

TIRE REPURPOSING Averitt’s green tire program is a model for the industry. 100% of used tires are repurposed or recycled. This dramatically reduces landfill waste while decreasing our demand for new tire production.

RESPONSIBLE TIRE SOURCING Additionally, in 2024 Averitt entered into a new partnership on social, human rights, and environmental standards with its leading supplier of tires. This partnership ensures that more than half of all tires that Averitt procures annually adhere to a Sustainable Natural Rubber Policy in accordance with the Global Platform For Sustainable Natural Rubber (https://sustainablenaturalrubber.org). That agreement was renewed in 2026 with the same social and environmental performance expectations.

AUTOMATIC TRAILER TIRE INFLATION SYSTEMS

We’ve equipped our fleet with automatic tire inflation systems that continuously monitor and maintain the pressure of the tires while the vehicles are operational. This ensures that all tires are inflated to the optimal level for maximum fuel efficiency and tire life span.

All of our truckload trailers are equipped with aerodynamic Transtex skirts, which reduce air drag. This number continues to grow as we adopt and test new innovations. Measuring Emissions in Less-Than-Truckload Trucking Averitt is a founding member of an industry working group to dramatically improve measurement of GHG emissions in the less-than-truckload (LTL) sector. Measuring emissions of truck space shared by multiple trucking companies is one of the hardest direct GHG measurement problems in trucking. Averitt partners with an LTL software firm and several large fleets to better measure and reduce emissions. Deploying Alternative Fuel Forklifts in Warehouses Averitt’s forklift fleet currently operates 100% on alternative fuels, accounting for only 1.7% of its total GHG emissions. Not only does it help the environment, but alternative fuels in the warehouse improve indoor air quality for workers. Averitt is transitioning to electric forklifts, with 50 already in operation, on track to zero forklift emissions. Testing and Deploying Electric Yard Tractors Yard tractors are one of the first heavy-duty trucking use cases in North America where electric vehicles can match – and sometimes exceed – performance of diesel vehicles. Averitt has partnered with leading electric yard tractor manufacturer TICO to test their new demonstration equipment and purchased 16 to transition 100% of our yard tractors in the State of Tennessee to these newly viable products. Sourcing Lower-Carbon Renewable Fuels Averitt partners with several leading fueling companies to source hundreds of thousands of gallons of renewable diesel and biodiesel annually. We are working with these partners to demonstrate demand and secure ever-growing quantities of these lower-carbon fuels at competitive costs.

PARTNERSHIPS FOR INNOVATION Heavy transportation – including the long-haul vehicles that comprise the vast majority of Averitt’s fleet – is one of the hardest-to-abate sectors, according to the latest global assessment by the United Nations (U.N.). Averitt’s use of proven efficiency and route optimization technologies across its entire fleet, one of the first steps recommended by the U.N. for our sector, is delivering emissions reductions annually. Averitt builds strategic partnerships to innovate, pilot, and deploy viable solutions for deeper emissions reductions in trucking. Industry, fueling, and vehicle manufacturer partnerships such as these are essential to develop new solutions:
