EMJ Corporation offers the following proposal for the requested Owner’s Representative Services relative to the construction for the new Nokian Tyre Plant in Dayton, TN. We propose to perform these services at the monthly and/or hourly rates listed below for personnel assigned to the project, plus the reimbursable costs as outlined below. This will provide Nokian Tyres with the maximum flexibility to customize the desired services based on your needs and expectations. The attached Exhibit “A” lists a menu of our services that are available for this project.

Below are personnel that are currently available for this project along with the services that they could provide for this project. As noted above, all services required for this project would ultimately be determined by Nokian Tyres. • Client Executive, Chris Grannan – Chris will have oversight of all EMJ personnel assigned to this project and be the executive point of contact for Nokian Tyre. • Senior Project Manager, Adam Ankers – Adam will provide the administrative services required by Nokian Tyre including financial tracking, constructability reviews, change order evaluation, plus planning, scheduling, communication, coordination and documentation during construction. • Preconstruction Manager, Joe Woolums – Joe will be based in EMJ’s Chattanooga office and provide project criteria & bid documents review and comment, bid package preparation and bid analysis, quantity take-off and conceptual budgeting services. • Lead Superintendent, James Busbin – James will serve as our Lead Field Supervisor overseeing all field operations including scheduling, quality assurance, planning, coordination, problem solving, etc. • Assistant Field Superintendent, Ryan Blaylock – Ryan will assist the Lead Superintendent in quality assurance, planning, scheduling, coordination and problem solving for the mechanical, electrical and owner provided production equipment scopes of work. • Project Engineer, Chad Marler – Chad will provide assistance to our Senior Project Manager primarily in the areas of document control, shop drawings, change order pricing, preparing meeting minutes and project reports and managing closeout documents.

Cost Management • Monitor all costs in comparison to the budget and provide transparent project cost updates to the client. • Review and challenge change requests submitted by the design build contractor (“DBC”) and make determination if request for additional compensation is valid. • Establish limitations for DBC and their subcontractor’s mark-‐ups on change orders. • Review and track allowances and provide up-‐to-‐date information regarding allowance distribution to the client. • Facilitate change order documentation and file/track all paperwork. Application for Payments • Receive and review all application for payments from DBC on a monthly basis. • Complete a thorough review of the DBC’s itemized schedule of values and scrutinize percent complete on a line item basis. Preconstruction Services • Project criteria and bridging document review for accuracy, constructability and completeness prior to issuing for bid. • Provide conceptual budgeting, value engineering and value analysis services. • Evaluate bids with a detailed scope review of each DBC to ensure bids are inclusive of all aspects of the project. Provide a written bid comparison with recommendation to the client. • Coordinate and facilitate an on-‐site meeting, including client, DBC, EMJ, and other entities that may be affected by construction activities to develop a healthy working relationship between all parties. • Establish open communication lines and reconfirm project goals and expectations. • Discuss safety and quality requirements with the DBC’s and outline strict expectations. • Discuss project meetings, construction schedule, critical dates, submittal requirements, 3 rd party testing laboratory requirements, as-‐built documentation and other critical issues. • Set dates for equipment deliveries & installation, phasing plans, punch list and turnover. Progress Meetings & Reports • Facilitate regularly scheduled progress meetings with the client and DBC to discuss project progress and other issues related to the construction process. • Issue comprehensive meeting minutes to all involved parties assigning responsibilities and dates for completion. • Prepare periodic project reports for the client. On-‐Site Project Management & Supervision • Establish effective, responsive communication procedures to transmit communication properly between all team members and keep the client informed.

• Conduct regular coordination meetings to update participants, maintain accountability, and resolve issues. • Review and establish schedule requirements through consistent management of the master schedule reinforced by four week look-‐ahead schedules to control detailed milestones and activities. • Monitor submittal and RFI responses to ensure no schedule impacts and conformance with the owner’s requirements. • Coordination and tracking of all owner furnished equipment. • Collaborate with the client to develop the site logistics and staging plan. • Enforce rigorous jobsite safety and cleanliness standards. Quality Control • Ensure project is completed per plans and specifications including adherence to client’s design criteria. • Review and provide written comments on the DBC’s project specific quality assurance plan. • Schedule and complete mock-‐up, first work and periodic quality assurance inspections. Manage the corrective work log. • Receive and review quality control reports from third party testing agencies. • Provide recommendations for third party consultants (slab consultant, envelope consultant, etc.). • Document daily work activity through daily work logs, rain logs and photographs. • Coordinate commissioning activities with the client, DBC and all required personnel. On-‐Site Safety Management • Provide full-‐time on-‐site safety management, oversight and inspections utilizing EMJ subsidiary -‐ CORE Safety Group. Punch List • Facilitate a thorough, independent completion inspection prior to substantial completion. • Prepare and publish the completion list to the DBC providing specific dates that all items must be complete. • Ensure completion list is corrected to minimize punch-‐list items. • Conduct final inspection of the premises and sign off on final project completion. Review all close-‐out documents, including O&M manuals, as-‐built drawings and certificate of occupancy. Ensure final lien releases are submitted to the client neatly and well organized. • Ensure that all close-‐out documents have been received and thoroughly reviewed prior to release of retainage to DBC. Project Turn-‐Over • Assist the client with smooth transition into the facility including complete training and demonstration of all building systems. • Maintain close contact throughout move-‐in period to ensure immediate response to any issues. Clint Dean | Executive Vice President Clint Dean, is our Executive Vice President and a nineteen year EMJ veteran. He is ultimately responsible for the success of the project and for ensuring that the level of service provided by EMJ exceeds the expectation of the Owner. Chris Grannan | Client Executive Vice President of Preconstruction Chris is a ten year veteran of EMJ. As Vice President of Preconstruction, Chris will provide guidance and oversight to all EMJ personnel assigned to this project, ensure our team’s services exceed the client’s expectations and will be the executive point of contact for Nokian Tyres. Joe Woolums | Senior Preconstruction Manager Joe is a 15 year veteran of EMJ and as Preconstruction Manager, Joe plans, leads, and coordinates all activities associated with project budgeting, bidding and buyouts. He collaborates with owners and designers to clarify project scope, prioritize project goals and develop cost-saving and value-adding strategies. He develops the project budget to assist owners in evaluating feasibility and identifies necessary due diligence requirements to evaluate existing conditions, solicits bids from qualified subcontractors and suppliers, negotiates agreements, coordinates distribution of construction documents, and issues owner contracts, subcontracts, and purchase orders. Joe works with the Project Manager, Architects, Engineers, Owner’s and Subcontractors to ensure the project is bought out to meet the project’s quality, schedule, and budget requirements. Adam Ankers | Senior Project Manager Adam has over twelve years experience, and as Senior Project Manager Adam will provide overall guidance to the proposed project team to establish consistency. Adam will guide the C2C® process and work with our Preconstruction department to ensure
that project expectations are clear and well communicated across all internal channels. Adam will conduct client specific training with our entire proposed project team and make sure that all EMJ team members clearly understand those expectations. Adam, as Senior Project Manager, and our Superintendent will serve as the daily and primary points of contact. Adam will be available as needed to our project team and the Owner, but more importantly to ensure that EMJ meets the Owner’s expectations for every project. James Busbin | Lead Superintendent James has over 33 years of construction experience. As Superintendent he will be the day-to-day liaison with the Owner and their Consultants. As such he will provide site management oversight for all phases of the construction project including coordinating workers, material, and equipment; ensuring that plans and specifications are being followed; work is proceeding on schedule and within budget; all work is being conducted in a safe and professional manner. Ryan Blaylock | Level II Superintendent Ryan has over 10 years of construction experience and will be an Assistant Superintendent working with James Busbin, for specific construction activities, including coordinating workers, material, and equipment, ensuring that plans and specifications are being followed; work is proceeding on schedule, within budget, and is conducted in a safe and professional manner. Chad Marler | Project Engineer Chad will assist the Lead Superintendent and Project Manager in ensuring excellent document control throughout the project. This will include processing submittals, expediting RFI’s, assisting in maintaining the RFI log, assisting with Quality Control documentation, expediting materials and owner provided items to the job site, coordination of vendors and fixture process & updating and maintain

the contract documents. As Project Engineer he will also support the Project Manager as it relates to tracking of the material delivery log and helping with project schedule updates. Scott Lydick | Safety Manager | Core Safety Scott is a degreed safety professional with hands-on experience in all aspects of safety management, including loss control and claims management. He is highly experienced in the on-site safety management of large-scale construction, renovation, and demolition projects. He has developed, implemented and managed corporate safety programs, policies and procedures to impact overall safety performance. He also develops and implements job-site specific safety plans and job-site hazard analysis for critical construction and demolition activities for all of EMJ’s Chattanooga projects.

Clint Dean Executive Vice President, Chattanooga Office
As Executive Vice President, Clint oversees and provides day-to-day leadership and management that is internally and externally aligned with EMJ’s overall strategic vision, culture, philosophy, mission, short-term/long-term goals and policies. He is responsible for ensuring the growth, budget, operations and success of the Chattanooga Office. Clint has over 19 years of experience in a wide variety of projects, including educational facilities, retail, health, industrial, public works and recreational facilities. Relevant Experience FedEx Ground - Chattanooga, TN: $20.8 million, 237,000 sq. ft. Development of 39 acres of 63-acre site. Balancing site to shift over 250,000 cubic yards of earth across the site. Building will be pre- engineered metal building set on shallow cast-in-place concrete foundations. Work includes off site work consisting of new traffic signals and enlarging of I-75 exit ramp and Apison Pike. Resolute Forest Products - Calhoun, TN: $10 million, 241,492 sq. ft. Construction of a new pre-engineered manufacturing facility. Shaw Tile Plant T1 – Adairsville, GA: $36.2 million, 686,668 square-foot carpet tile manufacturing facility. The facility consists of a 496,226 sq. ft. manufacturing area with a 107,506 sq. ft. warehouse and a 12,500 sq. ft. administrative annex. Exterior walls at the manufacturing and warehouse areas are plant precast attached to a structural steel frame that carries a TPO roofing system. The project is slated to achieve LEED Silver. Shaw Plant 34 Expansion – Dalton, GA: $28.7 million, 535,000 sq. ft. warehouse consisting of concrete tilt walls, structural steel, SOG with a TPO roof. Project also consisted of clearing 28 acres for the new addition along with site utility work, detention pond, RCC pavement for truck parking and site lighting. Wacker Chemical Corporation – Charleston, TN: $40 million, 324,000 sq. ft. (Office Building, Fire Station, CS Reaction, Control Center, HCL Generation, Maintenance Shop, Equipment Cleaning and Distribution Center Buildings). These buildings included large mechanical and electrical packages, super flat floor slabs, high performance coatings, installation of owner furnished equipment and deep foundations. Enterprise South - Chattanooga, TN: Acting as the Owner’s Agent providing services to the City of Chattanooga & Hamilton County overseeing $240 million worth of Infrastructure packages funded through State of Tennessee incentive grants. 1,340 acre site includes roadways, test tracks, helipad, & outbound car storage. Blue Cross Blue Shield Corporate Campus – Chattanooga, TN: $62 million, 1.4 million sq. ft., 8-level precast parking deck, 3600 vehicle capacity, 200 augercast pile, irrigation and large planters on three levels of atrium, two hydraulic elevators and three traction elevators,

Adam Ankers Senior Project Manager Adam plans, directs, and coordinates all activities concerned with the overall execution of a construction project. He participates in the conceptual development of a construction project with the Preconstruction department and oversees the organization, scheduling, shop drawings, and closeout processes during construction in order to achieve the common goals of the project team. He ensures that the project will be completed within the established time-line by making regular inspection of the construction site and monitoring the progress of the construction activities, provides technical direction and leadership to on-site personnel for the purpose of ensuring budgetary, quality and safety standards. James Busbin Lead Superintendent
James is responsible for overall coordination and supervision of all field installations. Whitfield County High School – Dalton, GA: $18.7 million new construction, 243,500 sq.ft., three story facility located on 99.2-acres. This facility will also include a gymnasium including a 2nd floor walking track, full service cafeteria, library and media center, sport facilities for football, baseball, basketball, softball, tennis and track. Enterprise South – Chattanooga, TN: As the Owner’s Agent, EMJ provided Contract Administration, Construction Management and Construction Consulting services to the City of Chattanooga & Hamilton County overseeing $240 million worth of Infrastructure packages funded through State of Tennessee incentive grants. As Project Engineer, Chad assists with pre-development services, takeoffs, bid solicitation, bid tabulation and conceptual budgets. He conducts reference checks, and expedites contract execution. Richland Mall Renovation – Waco, TX: $5 million, 63,000 sq.ft. This renovation included new tile and carpet floor finishes throughout the mall concourse. New light fixtures were installed throughout the concourse and all of the ceilings, bulkheads, and neutral piers received new paint. New solid surface and whitewashed wood trimmed column enclosures were installed in the major courts. Whitewashed wood trimmed visual wall elements were added at the major courts. Restrooms were completely renovated. New entry features were installed at 2 of the 3 main entrances to the mall consisting of new sign elements, stucco, reflective EIFS, sidewalks and landscaping.
