EXECUTIVE SUMMARY This mail-out has been prepared to inform you about the issues that we will discuss at the 6 October 2025 Annual Meeting. These issues include the election of members to the Board of Governors and the Club’s Facilities Master Plan. Furthermore, this mail-out will also serve to update you on the many exciting activities taking place at our Club. At the request of the Club Secretary, Colonel D’Anne Spence, USAF, Ret., and to ensure sufficient ballots are available, if you intend to propose a motion from the floor at the Annual Meeting, please contact the Secretary directly at (703) 835-4108 or by e-mail Danne.emmett.spence@gmail.com, no later than Monday, 29 September 2025. PROCEDURES FOR VOTING IN ABSENTIA As in prior years, Resident and Life members will be able to vote absentee this year. If you will not be able to attend the 6 October 2025 Annual Meeting, or if you simply desire to vote absentee, you will be able to vote electronically or on a printed paper ballot for the election of members to the Board of Governors as in previous years. New this year to the ANCC election process, all Resident and Life Members, with an email on file, will be sent an email with the option to vote electronically, directly from the email, at any time prior to the last call for ballots during the Annual Meeting. The email will clearly outline the procedure if a Resident or Life Member chooses to vote in this manner. Alternatively, until Friday, 3 October at 5:30 p.m., members may visit, call or email the Administrative Office (703-521-6800, Ext. 1201, lien.dao@ancc.org ) and ask that an absentee ballot be sent to you. Finally, if you would prefer to vote at the Club, you may vote in person at the Arlington Administrative Office or Fairfax Lobby on Saturday, 4 October from 9:00 a.m. to 5:30 p.m. or on Monday, 6 October, from 9:00 a.m. to 4:00 p.m. Additionally, as in previous years, Members will be able to vote electronically, in person, following their check-in at the Annual Meeting. Upon check-in during the early voting period or at the Annual Meeting, Members will be offered four options for voting: 1) The initial email sent with the ballot 2) A QR code to use with their smartphones, 3) Online utilizing a unique username and password, or 4) A printed paper ballot like previous years. Survey Ballot Systems (SBS), which runs elections for other clubs in the area, provides validity, independent oversight, security, speed, and accuracy to the balloting process. Utilizing electronic methods will significantly enhance the efficiency of the ANCC annual election while still providing an option to vote via a paper ballot for those Members who choose to do so. Ideally, Members elect to vote via the electronic method to reduce the amount of time to tabulate votes. We look forward to a strong turnout at this year’s annual meeting. BALLOTS

Why do I want to serve on the Board of Governors: I want to be involved in the future of the Club and ensure ANCC remains a vibrant, welcoming place for families and remains true to the current mission statement. I have had the opportunity to watch ANCC grow and thrive over the last 14 years to be a place that my family really enjoys. My twin daughters have grown up with ANCC being an important part of their life and community. I want to ensure that other families, particularly

I currently serve as a Board member of American Corporate Partners (https://www.acp-usa.org), one of the largest charities in the U.S. focused on veteran employment. Serving the veteran community is a passion area for me, and I devote several hours each month to mentoring transitioning service members and military veterans on how to find meaningful opportunities in the private sector. Why do I want to serve on the Board of Governors: My family of five are enthusiastic members of ANCC! We found our way to the ANCC after I had the honor of receiving a direct commission to the Army JAG Corp at the ripe old age of 49. ANCC has been a great way for me and my family to connect with other service members and veterans, as well the terrific civilian members of the club. My wife and I are distinctly not "country club people," so we have greatly appreciated the unpretentious nature of the Club membership, and the respect shown to the amazing staff at the ANCC. I am looking to join the Board both to give back to our great club, and have an opportunity to get to know other members better. It would be a great honor for me to serve as a Board member. This homecoming has renewed my sense of purpose and deepened my commitment to actively engage with the communities that matter most to me, particularly ANCC. Why do I want to serve on the Board of Governors: I am seeking the opportunity to serve on the Board of Governors as a way to give back to a Club that has already become an important part of my daily life. With a career rooted in leadership, program management, and service, I believe I can help support the long-term health and growth of ANCC. I served on the Junior Activities Committee for three years because I consider junior activities to be a critical recruitment tool for the club. Many of our new members are drawn here by a robust set of junior programs. For two years I served on the Planning Committee to be in the room as this club charts its path for the next decade. Finally, I served on the ad hoc Military Initiation Fee Committee, where I drafted necessary and overdue revisions to club bylaws on membership categories and rates, while ensuring that our club’s military heritage is preserved. Finally, earlier this year I was elected Vice President of the Army Navy Country Club Foundation. I am excited to be a part of the team restoring the club’s military history to the Arlington and Fairfax clubhouses. Why do I want to serve on the Board of Governors: The next three years are a critical time in Army Navy history. The next board will make difficult and lasting decisions on the future of the club. We will continue to make new investments in facilities while managing a growing wait list

and an evolving membership demographic. ANCC’s traditions are important. I reject the false choice between maintaining our military heritage and improving the quality of the club. We have always found ways to build a quality and rewarding club experience while preserving our unique culture. I also hope to improve civility, decorum, and esprit de corps among club membership. I have noticed a disturbing trend or disrespect and indifference in the club towards fellow members and— most disturbingly-club staff. We should hold ourselves to high standards and strive to meet them. Today, I lead a thriving commercial and residential real estate practice, where strategic thinking, client service, and negotiation are at the core of my work. I have extensive experience in c-suite leadership issues, setting organization strategy, allocating resources, prioritizing resources and developing guidance to support an organization’s goals and directions. I have served two separate terms on the ANCC Board, serving on the Golf and Green, Finance and Membership committees. During my second term on the Board, I served as the Board President. I recently served as the Chair of the Fairfax Task Force, reviewing options for the Membership and the Board to expand use and add value to the Fairfax Campus. As a result, I am well-versed in the current state of ANCC finances, projects and goals. Why do I want to serve on the Board of Governors: I strongly desire to return to the Board and aid the membership in improving their experience and continuing the Club's growth strategy. With large projects on the horizon and a need to manage those in concert with the club's existing debt from the ARL Clubhouse and Pool projects, I strongly desire to help the Board and the membership navigate this important period. My previous Club Leadership experience (2-time Board member and Club President) and my recent role as the Chair of the Fairfax Task Force, have me well-prepared to serve the members for a third time. My last two tours in Navy were as (1) O6 Major Command as a Commodore of expeditionary logistics, communications, and cargo handling, where my regiment deployed 150 persons overseas and (2) leading 600 reservists globally at Navy Supply Systems Command. As a junior officer onboard a frigate and at US Naval Academy, I fed 12,000 meals a day to midshipmen in King Hall, named after WW2 Fleet Admiral Ernest King, for whom we’ve recently named an ANCC meeting room. It has been interesting to see similar operations executed within our professional, Platinum club atmosphere. In consulting, I’ve focused on DoD acquisition,

primarily of major weapons and information technology systems. This includes cost, budget, schedule, performance, contracting management, and data analytics. 17th year at Booz Allen Hamilton. At KPMG I performed organizational management and business process improvement studies. I have volunteered in several capacities that enhance knowledge of ANCC board operations: (1) (current) President of condominium association board, (2) (current) In 2023, stood up 501(3)© Saint Vincent de Paul non-profit for Arlington; Serve as Treasurer. Pay out $30,000 of charitable assistance annually. Why do I want to serve on the Board of Governors: I am running for re-election because I believe strongly in good governance and transparency. The Board of Governors serves the Members of this Club and is responsible to the Members. I will continue to listen to the Members and fight to improve the Board’s communication. Members should have a vote on the club’s decisions, and it is poor governance and undemocratic when the Board fails to let the Members vote on major issues. We have several large, proposed projects such as work on the Arlington golf course, the “Wing” at the Fairfax course, expansion of Stars & Stripes, new or expanded indoor tennis facilities and fitness centers, women’s locker room expansion, and many other proposed projects. The Membership should be informed of the projects the board is considering, and the Membership should be allowed to provide their input in order to prioritize future projects. I have the support of numerous constituencies of our Club to include the military, civilian members, national security professionals, and sons and daughters. After retiring from the Navy, I wanted to continue to serve and work on national security issues. I worked for several years as a National Security Advisor in the U.S. Senate for multiple Senators. I continue to work closely with Congress and the Executive branch as the head of policy at a nonprofit organization dedicated to national security, national service, and veterans’ issues. In addition to my service on the Board, my family and I are active members of the Club with children who participate in many youth activities to include golf, tennis, swimming, and Rainbow City. Our children are frequent participants in the youth sports programs, and our family enjoys the club's many special events and activities. We supported the new aquatics project at Arlington and believe it improved the club's ability to recruit and retain families. I have sponsored several new members each year and will continue to be a champion for ANCC and its mission. Our Club is fortunate to have great professional staff, but also needs Members dedicated to servant leadership to make the club truly successful. I have been an active member of the Board the past five years including serving on the Golf & Greens Committee, Chairman of the Handicap Committee, co-chairman of the Member / Member Golf Tournament Subcommittee, and a member of the Military Initiation Fee Committee. Through my service on the Board and my work on the Golf & Greens Committee, I have a strong relationship with our professional staff and work well as part of a team to achieve results. I am very supportive of our golf Superintendents and support their direction and vision for improving both the Arlington and Fairfax courses. As a member of the Golf & Greens Committee, I have worked hard to support our professional Superintendents to ensure they have the resources and authorities needed to maintain our courses. Both the Arlington and Fairfax courses are in great shape and have the support and leadership to keep our courses to the standard ANCC deserves. Fairfax is in outstanding condition thanks to the hard work of our Superintendent and his staff. Arlington continues to be in excellent

shape and the Superintendent has presented options for a long-term plan to improve the course and bunkers in the future. NONE NONE List areas of expertise or special qualifications that will be of benefit to the ANCC: I bring unique professional perspectives to ANCC that would help me advance the club’s goal of deepening engagement among military and civilian citizens bound together by our shared fraternal and patriotic spirit. By the time of our annual meeting, I will be a recently retired senior State Department manager and regulator, having led a team that managed cross border energy infrastructure permitting. I will also bring my incumbent experience as the citizen Chair of Alexandria’s Transportation Commission and as an Adjunct Professor at Georgetown. My diplomatic, and most importantly — listening and community engagement skills — will be helpful as the board transparently engages all members of our club community on capital improvement projects. Once the membership votes on the scope of these investments, my former federal and city regulatory skill sets will inform my independent advice to the board and club management as they approach Arlington Commissions and Arlington City Hall on the wide range of water and land use permits the club will need to enact any changes. I know we can do so in a spirit of transparency and candor. Why do I want to serve on the Board of Governors: I am a lifelong golfer, swimmer and tennis player. Being a member of ANCC is a great honor. My late father was an Army Major who served in New Guinea in WWII and I have been an officer in the national security field my entire career and am a civilian member. Our Club provides a unique opportunity to foster greater engagement between military and civilian leaders and I want to contribute to this historic tradition. There are

Areas of focus include assuring the vitality of long-term capital investments, at a reasonable cost, and making better use of the two club campuses. Planning Committee Attendance 100% List areas of expertise or special qualifications that will be of benefit to the ANCC: I’ve served on our Club board for over 9 years on many committees and for many activities, culminating in being elected the Club President during the last year of my term limit. I know our club governance extremely well and am an expert in overall management of large and small organizations, executive leadership and decision making, and innovative thinking and implementation. I actively participated in our governance process by serving on special committees and assisting in other areas where needed. I served as the Tennis Chair for 5 years and working with the staff brought about new programs, good changes to existing ones and developed the “Tennis Gram” as Tennis Chair to improve communications within our Tennis playing members. In addition to instituting the Tennis Gram as chair, I also worked hard with the staff and board to build 8 pickleball courts which are now a huge success for our members. I know what vision looks like, getting dedicated pickleball courts into our Club, and know we will need that vision with our Strategic Plan. I served on the Governance Sub-committee since its inception, over six years, culminating in Chair while serving as the President of the Club. I was involved in helping to implement many governance changes and oversaw the disciplinary actions. I know the governance of our Club, have had a significant positive impact on the governance, and want to continue to serve not only to preserve but to expand our services and facilities. I was involved in a lot of great things that happened to ANCC in the past and want to continue that success and strive for even more. I know we can bring new and better services to the club when we are told no, Pickleball is a prime example. Why do I want to serve on the Board of Governors: I am in support of improving all of our facilities, both Arlington and Fairfax. In the past I’ve actively supported and promoted our new pool complex and our purchasing of the building for our H1B visa holders. The pools have received great praise and enhanced our membership experience while the apartment complex has allowed us to keep our dues as low as possible. Great wins for our club. I’ve been participating in our strategic plan efforts and in agreement with many of the recommendations. Finding the right time is what will be key. We need our membership involvement to be successful. Our board communicates to the membership but we need to communicate with the membership. A fully informed and interactive membership is key to our success as a club. We need the membership to be better informed of what is going on with the club and involved from the beginning, not just a town hall or two and an email or notice at the end of any project or issue. We need to actively engage the members to solicit their input multiple times and in multiple ways. Not only do we need to do this with projects but issues that arise in the club, by seeking dialogue with our members and not just to them. Over my career I built extensive experience in workforce management and strategic communication by taking the approach of “human-centered design” in all my applications both internally to my organizations and externally towards those we serve. I possess out of the box leadership, branding, and communications skills. We need membership involvement on multiple levels. I will stress, push for, and lead the effort of our board to be that champion that involves you and just not inform you. List areas of expertise or special qualifications that will be of benefit to the ANCC: I was a senior executive with more than 37 years of experience as a small business advocate and communications/outreach expert for the U.S. Small Business Administration. I served in the Senior Executive Service as the Director of Community Relations and the career Deputy in the Office of Communications and Public Liaison where I was responsible for leading the SBA’s communications and outreach efforts. I also managed our 68 district offices and more than 1,500 employees who were responsible for delivering SBA’s services at the local level to small businesses through banks and private partners. I was appointed by two different Presidents to serve as acting in a Presidential appointment/Senate confirmation position. I testified many times before Congress on small business issues and represented small business views before the White House, other Federal agencies, and the small business community. My volunteer experience includes serving on the Board of the National Small Business Association. I was Chair of NSBA’s annual Washington Presentation where Members come to Washington to meet with their representatives and present NSBA’s small business legislative priorities. I am on the Athletic Board at Virginia Commonwealth University where I serve as an advisor to the Athletic Director. I am a committee member for the annual VCU BoostHER golf tournament where we have raised more than $300,000 to support the female student-athletic experience at VCU. I have served on all of the Board positions for the CWGO; including President, and have served in many positions with the WGO-18. This past year, I served on the House and Entertainment Committee. Our major project is the Eisenhower Wing Optimization Project. This project entails redesigning the Eisenhower and Sun Rooms to fully utilize this space and adding a full size bar that can accommodate 30+ people. The Committee is working closely with outside architects to develop exciting designs. Why do I want to serve on the Board of Governors: I have been a member of ANCC for 15 years. We joined right before the new clubhouse was built. I have watched our club grow into one of the best country clubs in the area. I have developed deep relationships with many of the members and feel blessed to have this wonderful Club and many good friends.

One thing is certain, I don’t want to serve on the Board so I can referee whether the Fitness Center TVs are tuned to Fox News or CNN. For me, and I believe for most members, the Club is a refuge and respite from the turbulence that characterizes our nation’s capital. I believe it is in the best interest of all members that we leave our politics at the gate. If you want to start a debating society be my guest but do it o ff campus. The club is for collegiality, competition and relaxed dining. The one reason I do want to serve on the Board is because I enjoy a challenge and because there is no question in my mind that our Club will face significant challenges over the next several years. We face major decisions as we assimilate more and more civilian members into the Club. As a retired Marine o ffi cer, I am particularly conscious of our Club’s military heritage and ethos that is at the core of what created this magnificent Club in 1924. I believe it is in the interest of all members, both military and civilians, to embrace and carry forward that military heritage. As fellow citizens and taxpayers our civilian members have just as much equity in the heritage that is part of our national identity. Our Club is a unique blend of civilian and military members and genuine mutual respect and a cooperative spirit between the two are necessary if we are to navigate the challenging waters before us. One of the most important near term challenges we will face is the proper sequencing of capital investments. Capital investments are the lifeblood of successful country clubs. In 2012 we opened our magnificent Arlington clubhouse at a cost of approximately $50 million dollars and in 2022 we spent approximately $11 million dollars to upgrade the Arlington pool complex. Both investments have been huge successes. Currently we also have under discussion a major renovation, with both design and infrastructure elements, of the Arlington golf courses. The Golf and Green Committee, working in conjunction with Club leadership, has presented a comprehensive and ambitious proposal, created by the highly respected golf architect Andrew Green. While the cost of this project is still unclear it has the potential to address some real infrastructure issues as well as important design enhancements. But ultimately, we the members will have the final say on whatever goes forward. Concurrent with improvements at Arlington has been the creation of an imbalance between the utilization of Arlington versus the Fairfax campus. Access to tee times at Alington has become more challenging as about 60% of all golf rounds are played at Arlington and 40% played at Fairfax. In the 1990s 55% of all rounds were played at Fairfax and 45% at Arlington. The current imbalance between the two campuses has resulted in real access issues at Arlington. From my perspective, it is time to make a significant capital investment in the Fairfax facility. What that investment might look like is up to you the membership but under the leadership of Jake Jacobson, Lt. General USAF, Ret. and Eric Schnabel, LTC USA, Ret. the Fairfax Task Force, on which I also serve, will provide creative options for enhancing the club experience at Fairfax.
